Stat. tit. 12A, § 12A-1-9-305","heading":"Law governing perfection and priority of security","body":"interests in investment property.\n\nLAW GOVERNING PERFECTION AND PRIORITY\n\nOF SECURITY INTERESTS IN INVESTMENT PROPERTY\n\n(a) Except as otherwise provided in subsection (c) of this\n\nsection, the following rules apply:\n\n(1) While a security certificate is located in a jurisdiction,\n\nthe local law of that jurisdiction governs perfection, the effect of\n\nperfection or nonperfection, and the priority of a security interest\n\nin the certificated security represented thereby.\n\n(2) The local law of the issuer's jurisdiction as specified in\n\nsubsection (d) of Section 8-110 of this title governs perfection,\n\nthe effect of perfection or nonperfection, and the priority of a\n\nsecurity interest in an uncertificated security.\n\n(3) The local law of the securities intermediary's jurisdiction\n\nas specified in subsection (e) of Section 8-110 of this title\n\ngoverns perfection, the effect of perfection or nonperfection, and\n\nthe priority of a security interest in a security entitlement or\n\nsecurities account.\n\n(4) The local law of the commodity intermediary's jurisdiction\n\ngoverns perfection, the effect of perfection or nonperfection, and\n\nthe priority of a security interest in a commodity contract or\n\ncommodity account.\n\n(5) Paragraphs (2), (3), and (4) of this subsection apply even\n\nif the transaction does not bear any relation to the jurisdiction.\n\n(b) The following rules determine a commodity intermediary's\n\njurisdiction for purposes of this part:\n\n(1) If an agreement between the commodity intermediary and\n\ncommodity customer governing the commodity account expressly\n\nprovides that a particular jurisdiction is the commodity\n\nintermediary's jurisdiction for purposes of this part, this article,\n\nor this title, that jurisdiction is the commodity intermediary's\n\njurisdiction.\n\n(2) If paragraph (1) of this subsection does not apply and an\n\nagreement between the commodity intermediary and commodity customer\n\ngoverning the commodity account expressly provides that the\n\nagreement is governed by the law of a particular jurisdiction, that\n\njurisdiction is the commodity intermediary's jurisdiction.\n\n(3) If neither paragraph (1) nor paragraph (2) of this\n\nsubsection applies and an agreement between the commodity\n\nintermediary and commodity customer governing the commodity account\n\nexpressly provides that the commodity account is maintained at an\n\noffice in a particular jurisdiction, that jurisdiction is the\n\ncommodity intermediary's jurisdiction.\n\n(4) If none of the preceding paragraphs of this section\n\napplies, the commodity intermediary's jurisdiction is the\n\njurisdiction in which the office identified in an account statement\n\nas the office serving the commodity customer's account is located.\n\n(5) If none of the preceding paragraphs of this section\n\napplies, the commodity intermediary's jurisdiction is the\n\njurisdiction in which the chief executive office of the commodity\n\nintermediary is located.\n\n(c) The local law of the jurisdiction in which the debtor is\n\nlocated governs:\n\n(1) perfection of a security interest in investment property by\n\nfiling;\n\n(2) automatic perfection of a security interest in investment\n\nproperty created by a broker or securities intermediary; and\n\n(3) automatic perfection of a security interest in a commodity\n\ncontract or commodity account created by a commodity intermediary.","path":["OK Code","Title 12A"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os12A.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"43834e537f3d9fee13df550ade586a23598625613b885182576cfeceb8b43d59","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-12a-12a-1-9-304","next":"us-ok/okla.-stat.-tit.-12a-12a-1-9-306"},"notice":"GroundRules: Original legal text.
