Stat. tit. 12A, § 12A-1-9-306A","heading":"Law governing perfection and priority of security","body":"interests in chattel paper.\n\nLAW GOVERNING PERFECTION AND PRIORITY OF SECURITY INTERESTS IN\n\nCHATTEL PAPER\n\n(a) Except as provided in subsection (d) of this section, if\n\nchattel paper is evidenced only by an authoritative electronic copy\n\nof the chattel paper or is evidenced by an authoritative electronic\n\ncopy and an authoritative tangible copy, the local law of the\n\nchattel paper's jurisdiction governs perfection, the effect of\n\nperfection or nonperfection, and the priority of a security interest\n\nin the chattel paper, even if the transaction does not bear any\n\nrelation to the chattel paper's jurisdiction.\n\n(b) The following rules determine the chattel paper's\n\njurisdiction under this section:\n\n(1) If the authoritative electronic copy of the record\n\nevidencing chattel paper, or a record attached to or logically\n\nassociated with the electronic copy and readily available for\n\nreview, expressly provides that a particular jurisdiction is the\n\nchattel paper's jurisdiction for purposes of this part, this\n\narticle, or the Uniform Commercial Code, that jurisdiction is the\n\nchattel paper's jurisdiction.\n\n(2) If paragraph (1) of this subsection does not apply and the\n\nrules of the system in which the authoritative electronic copy is\n\nrecorded are readily available for review and expressly provide that\n\na particular jurisdiction is the chattel paper's jurisdiction for\n\npurposes of this part, this article, or the Uniform Commercial Code,\n\nthat jurisdiction is the chattel paper's jurisdiction.\n\n(3) If paragraphs (1) and (2) of this subsection do not apply\n\nand the authoritative electronic copy, or a record attached to or\n\nlogically associated with the electronic copy and readily available\n\nfor review, expressly provides that the chattel paper is governed by\n\nthe law of a particular jurisdiction, that jurisdiction is the\n\nchattel paper's jurisdiction.\n\n(4) If paragraphs (1), (2), and (3) of this subsection do not\n\napply and the rules of the system in which the authoritative\n\nelectronic copy is recorded are readily available for review and\n\nexpressly provide that the chattel paper or the system is governed\n\nby the law of a particular jurisdiction, that jurisdiction is the\n\nchattel paper's jurisdiction.\n\n(5) If paragraphs (1) through (4) of this subsection do not\n\napply, the chattel paper's jurisdiction is the jurisdiction in which\n\nthe debtor is located.\n\n(c) If an authoritative tangible copy of a record evidences\n\nchattel paper and the chattel paper is not evidenced by an\n\nauthoritative electronic copy, while the authoritative tangible copy\n\nof the record evidencing chattel paper is located in a jurisdiction,\n\nthe local law of that jurisdiction governs:\n\n(1) perfection of a security interest in the chattel paper by\n\npossession under Section 9-314A of this title; and\n\n(2) the effect of perfection or nonperfection and the priority\n\nof a security interest in the chattel paper.\n\n(d) The local law of the jurisdiction in which the debtor is\n\nlocated governs perfection of a security interest in chattel paper\n\nby filing.","path":["OK Code","Title 12A"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os12A.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"2ddb75f480c524f98679a81f3ba4b468d423ce7bbec833751db6275741211338","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-12a-12a-1-9-306","next":"us-ok/okla.-stat.-tit.-12a-12a-1-9-306b"},"notice":"GroundRules: Original legal text.
