Stat. tit. 12A, § 12A-1-9-313","heading":"When possession by or delivery to secured party","body":"perfects security interest without filing.\n\nWHEN POSSESSION BY OR DELIVERY TO SECURED PARTY\n\nPERFECTS SECURITY INTEREST WITHOUT FILING\n\n(a) Except as otherwise provided in subsection (b) of this\n\nsection, a secured party may perfect a security interest in goods,\n\ninstruments, negotiable tangible documents, or money by taking\n\npossession of the collateral. A secured party may perfect a\n\nsecurity interest in certificated securities by taking delivery of\n\nthe certificated securities under Section 8-301 of this title.\n\n(b) With respect to goods covered by a certificate of title\n\nissued by this state, a secured party may perfect a security\n\ninterest in the goods by taking possession of the goods only in the\n\ncircumstances described in subsection (d) of Section 1-9-316 of this\n\ntitle.\n\n(c) With respect to collateral other than certificated\n\nsecurities and goods covered by a document, a secured party takes\n\npossession of collateral in the possession of a person other than\n\nthe debtor, the secured party, or a lessee of the collateral from\n\nthe debtor in the ordinary course of the debtor's business, when:\n\n(1) the person in possession signs a record acknowledging that\n\nit holds possession of the collateral for the secured party's\n\nbenefit; or\n\n(2) the person takes possession of the collateral after having\n\nsigned a record acknowledging that it will hold possession of\n\ncollateral for the secured party's benefit.\n\n(d) If perfection of a security interest depends upon\n\npossession of the collateral by a secured party, perfection occurs\n\nnot earlier than the time the secured party takes possession and\n\ncontinues only while the secured party retains possession.\n\n(e) A security interest in a certificated security in\n\nregistered form is perfected by delivery when delivery of the\n\ncertificated security occurs under Section 8-301 of this title and\n\nremains perfected by delivery until the debtor obtains possession of\n\nthe security certificate.\n\n(f) A person in possession of collateral is not required to\n\nacknowledge that it holds possession for a secured party's benefit.\n\n(g) If a person acknowledges that it holds possession for the\n\nsecured party's benefit:\n\n(1) the acknowledgment is effective under subsection (c) of\n\nthis section or subsection (a) of Section 8-301 of this title, even\n\nif the acknowledgment violates the rights of a debtor; and\n\n(2) unless the person otherwise agrees or law other than this\n\narticle otherwise provides, the person does not owe any duty to the\n\nsecured party and is not required to confirm the acknowledgment to\n\nanother person.\n\n(h) A secured party having possession of collateral does not\n\nrelinquish possession by delivering the collateral to a person other\n\nthan the debtor or a lessee of the collateral from the debtor in the\n\nordinary course of the debtor's business if the person was\n\ninstructed before the delivery or is instructed contemporaneously\n\nwith the delivery:\n\n(1) to hold possession of the collateral for the secured\n\nparty's benefit; or\n\n(2) to redeliver the collateral to the secured party.\n\n(i) A secured party does not relinquish possession, even if a\n\ndelivery under subsection (h) of this section violates the rights of\n\na debtor.
