Stat. tit. 12A, § 12A-1-9-317","heading":"Interests that take priority over or take free of","body":"security interest or agricultural lien.\n\nINTERESTS THAT TAKE PRIORITY OVER OR TAKE FREE\n\nOF SECURITY INTEREST OR AGRICULTURAL LIEN\n\n(a) A security interest or agricultural lien is subordinate to\n\nthe rights of:\n\n(1) a person entitled to priority under Section 1-9-322 of this\n\ntitle; and\n\n(2) except as otherwise provided in subsection (e) of this\n\nsection, a person that becomes a lien creditor before the earlier of\n\nthe time:\n\n(A) the security interest or agricultural lien is\n\nperfected; or\n\n(B) one of the conditions specified in paragraph (3) of\n\nsubsection (b) of Section 1-9-203 of this title is met\n\nand a financing statement covering the collateral is\n\nfiled.\n\n(b) Except as otherwise provided in subsection (e) of this\n\nsection, a buyer, other than a secured party, of goods, instruments,\n\ntangible documents, or a certificated security takes free of a\n\nsecurity interest or agricultural lien if the buyer gives value and\n\nreceives delivery of the collateral without knowledge of the\n\nsecurity interest or agricultural lien and before it is perfected.\n\n(c) Except as otherwise provided in subsection (e) of this\n\nsection, a lessee of goods takes free of a security interest or\n\nagricultural lien if the lessee gives value and receives delivery of\n\nthe collateral without knowledge of the security interest or\n\nagricultural lien and before it is perfected.\n\n(d) Subject to subsections (f) through (i) of this section, a\n\nlicensee of a general intangible or a buyer, other than a secured\n\nparty, of collateral other than goods, instruments, tangible\n\ndocuments, or a certificated security takes free of a security\n\ninterest if the licensee or buyer gives value without knowledge of\n\nthe security interest and before it is perfected.\n\n(e) Except as otherwise provided in Sections 1-9-320 and 1-9-\n\n321 of this title, if a person files a financing statement with\n\nrespect to a purchase-money security interest before or within\n\ntwenty (20) days after the debtor receives delivery of the\n\ncollateral, the security interest takes priority over the rights of\n\na buyer, lessee, or lien creditor which arise between the time the\n\nsecurity interest attaches and the time of filing.\n\n(f) A buyer, other than a secured party, of chattel paper takes\n\nfree of a security interest if, without knowledge of the security\n\ninterest and before it is perfected, the buyer gives value and:\n\n(1) receives delivery of each authoritative tangible copy of\n\nthe record evidencing the chattel paper; and\n\n(2) if each authoritative electronic copy of the record\n\nevidencing the chattel paper can be subjected to control under\n\nSection 1-9-105 of this title, obtains control of each authoritative\n\nelectronic copy.\n\n(g) A buyer of an electronic document takes free of a security\n\ninterest if, without knowledge of the security interest and before\n\nit is perfected, the buyer gives value and, if each authoritative\n\nelectronic copy of the document can be subjected to control under\n\nSection 7-106 of this title, obtains control of each authoritative\n\nelectronic copy.\n\n(h) A buyer of a controllable electronic record takes free of a\n\nsecurity interest if, without knowledge of the security interest and\n\nbefore it is perfected, the buyer gives value and obtains control of\n\nthe controllable electronic record.\n\n(i) A buyer, other than a secured party, of a controllable\n\naccount or a controllable payment intangible takes free of a\n\nsecurity interest if, without knowledge of the security interest and\n\nbefore it is perfected, the buyer gives value and obtains control of\n\nthe controllable account or controllable payment intangible.","path":["OK Code","Title 12A"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os12A.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"97cdfa00e625089a5f8828305721fc96390a589addde340749d92b92a047cf9e","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-12a-12a-1-9-316","next":"us-ok/okla.-stat.-tit.-12a-12a-1-9-318"},"notice":"GroundRules: Original legal text.
