Stat. tit. 12A, § 12A-1-9-403","heading":"Agreement not to assert defenses against assignee","body":"AGREEMENT NOT TO ASSERT DEFENSES AGAINST ASSIGNEE\n\n(a) In this section, “value” has the meaning provided in\n\nsubsection (a) of Section 3-303 of this title.\n\n(b) Except as otherwise provided in this section, an agreement\n\nbetween an account debtor and an assignor not to assert against an\n\nassignee any claim or defense that the account debtor may have\n\nagainst the assignor is enforceable by an assignee that takes an\n\nassignment:\n\n(1) for value;\n\n(2) in good faith;\n\n(3) without notice of a claim of a property or possessory right\n\nto the property assigned; and\n\n(4) without notice of a defense or claim in recoupment of the\n\ntype that may be asserted against a person entitled to enforce a\n\nnegotiable instrument under subsection (a) Section 3-305 of this\n\ntitle.\n\n(c) Subsection (b) of this section does not apply to defenses\n\nof a type that may be asserted against a holder in due course of a\n\nnegotiable instrument under subsection (b) of Section 3-305 of this\n\ntitle.\n\n(d) In a consumer transaction, if a record evidences the\n\naccount debtor’s obligation, law other than this article requires\n\nthat the record include a statement to the effect that the rights of\n\nan assignee are subject to claims or defenses that the account\n\ndebtor could assert against the original obligee, and the record\n\ndoes not include such a statement:\n\n(1) the record has the same effect as if the record included\n\nsuch a statement; and\n\n(2) the account debtor may assert against an assignee those\n\nclaims and defenses that would have been available if the record\n\nincluded such a statement.\n\n(e) This section is subject to law other than this article\n\nwhich establishes a different rule for an account debtor who is an\n\nindividual and who incurred the obligation primarily for personal,\n\nfamily, or household purposes.\n\n(f) Except as otherwise provided in subsection (d) of this\n\nsection, this section does not displace law other than this article\n\nwhich gives effect to an agreement by an account debtor not to\n\nassert a claim or defense against an assignee.","path":["OK Code","Title 12A"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os12A.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"4c494424d2e3e61f5d65a50375491d85392ec7eaea6447c42866056e282fb461","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-12a-12a-1-9-402","next":"us-ok/okla.-stat.-tit.-12a-12a-1-9-404"},"notice":"GroundRules: Original legal text.
