Stat. tit. 12A, § 12A-1-9-404","heading":"Rights acquired by assignee; claims and defenses","body":"against assignee.\n\nRIGHTS ACQUIRED BY ASSIGNEE;\n\nCLAIMS AND DEFENSES AGAINST ASSIGNEE\n\n(a) Unless an account debtor has made an enforceable agreement\n\nnot to assert defenses or claims, and subject to subsections (b)\n\nthrough (e) of this section, the rights of an assignee are subject\n\nto:\n\n(1) all terms of the agreement between the account debtor and\n\nassignor and any defense or claim in recoupment arising from the\n\ntransaction that gave rise to the contract; and\n\n(2) any other defense or claim of the account debtor against\n\nthe assignor which accrues before the account debtor receives a\n\nnotification of the assignment signed by the assignor or the\n\nassignee.\n\n(b) Subject to subsection (c) of this section and except as\n\notherwise provided in subsection (d) of this section, the claim of\n\nan account debtor against an assignor may be asserted against an\n\nassignee under subsection (a) of this section only to reduce the\n\namount the account debtor owes.\n\n(c) This section is subject to law other than this article\n\nwhich establishes a different rule for an account debtor who is an\n\nindividual and who incurred the obligation primarily for personal,\n\nfamily, or household purposes.\n\n(d) In a consumer transaction, if a record evidences the\n\naccount debtor's obligation, law other than this article requires\n\nthat the record include a statement to the effect that the account\n\ndebtor's recovery against an assignee with respect to claims and\n\ndefenses against the assignor may not exceed amounts paid by the\n\naccount debtor under the record, and the record does not include\n\nsuch a statement, the extent to which a claim of an account debtor\n\nagainst the assignor may be asserted against an assignee is\n\ndetermined as if the record included such a statement.\n\n(e) This section does not apply to an assignment of a health-\n\ncare-insurance receivable.","path":["OK Code","Title 12A"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os12A.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"836cdb4a788012a233ddd6c3d3b188c7d523b65c198ae08b88c51b9b773f6c22","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-12a-12a-1-9-403","next":"us-ok/okla.-stat.-tit.-12a-12a-1-9-405"},"notice":"GroundRules: Original legal text.
