Stat. tit. 12A, § 12A-12-107","heading":"Governing law","body":"\n\nGOVERNING LAW\n\n(a) Except as provided in subsection (b) of this section, the\n\nlocal law of a controllable electronic record's jurisdiction governs\n\na matter covered by this article.\n\n(b) For a controllable electronic record that evidences a\n\ncontrollable account or controllable payment intangible, the local\n\nlaw of the controllable electronic record's jurisdiction governs a\n\nmatter covered by Section 12-106 of this title unless an effective\n\nagreement determines that the local law of another jurisdiction\n\ngoverns.\n\n(c) The following rules determine a controllable electronic\n\nrecord's jurisdiction under this section:\n\n(1) If the controllable electronic record, or a record attached\n\nto or logically associated with the controllable electronic record\n\nand readily available for review, expressly provides that a\n\nparticular jurisdiction is the controllable electronic record's\n\njurisdiction for purposes of this article or the Uniform Commercial\n\nCode, that jurisdiction is the controllable electronic record's\n\njurisdiction.\n\n(2) If paragraph (1) of this subsection does not apply and the\n\nrules of the system in which the controllable electronic record is\n\nrecorded are readily available for review and expressly provide that\n\na particular jurisdiction is the controllable electronic record's\n\njurisdiction for purposes of this article or the Uniform Commercial\n\nCode, that jurisdiction is the controllable electronic record's\n\njurisdiction.\n\n(3) If paragraphs (1) and (2) of this subsection do not apply\n\nand the controllable electronic record, or a record attached to or\n\nlogically associated with the controllable electronic record and\n\nreadily available for review, expressly provides that the\n\ncontrollable electronic record is governed by the law of a\n\nparticular jurisdiction, that jurisdiction is the controllable\n\nelectronic record's jurisdiction.\n\n(4) If paragraphs (1), (2), and (3) of this subsection do not\n\napply and the rules of the system in which the controllable\n\nelectronic record is recorded are readily available for review and\n\nexpressly provide that the controllable electronic record or the\n\nsystem is governed by the law of a particular jurisdiction, that\n\njurisdiction is the controllable electronic record's jurisdiction.\n\n(5) If paragraphs (1) through (4) of this subsection do not\n\napply, the controllable electronic record's jurisdiction is the\n\nDistrict of Columbia.\n\n(d) If paragraph (5) of subsection (c) of this section applies\n\nand Article 12 is not in effect in the District of Columbia without\n\nmaterial modification, the governing law for a matter covered by\n\nthis article is the law of the District of Columbia as though\n\nArticle 12 were in effect in the District of Columbia without\n\nmaterial modification. In this subsection, \"Article 12\" means\n\nArticle 12 of Uniform Commercial Code Amendments (2022).\n\n(e) To the extent subsections (a) and (b) of this section\n\nprovide that the local law of the controllable electronic record's\n\njurisdiction governs a matter covered by this article, that law\n\ngoverns even if the matter or a transaction to which the matter\n\nrelates does not bear any relation to the controllable electronic\n\nrecord's jurisdiction.\n\n(f) The rights acquired under Section 12-104 of this title by a\n\npurchaser or qualifying purchaser are governed by the law applicable\n\nunder this section at the time of purchase.","path":["OK Code","Title 12A"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os12A.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"167304265d71176e2578f06f34ee53560f3ee4bf981aaa7ed2e1c5fd278affa4","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-12a-12a-12-106","next":"us-ok/okla.-stat.-tit.-12a-12a-15-101"},"notice":"GroundRules: Original legal text.
