Stat. tit. 12A, § 12A-15-105","heading":"Use of electronic records and electronic signatures;","body":"variation by agreement.\n\nUSE OF ELECTRONIC RECORDS AND ELECTRONIC SIGNATURES; VARIATION\n\nBY AGREEMENT\n\n(a) This act does not require a record or signature to be\n\ncreated, generated, sent, communicated, received, stored, or\n\notherwise processed or used by electronic means or in electronic\n\nform.\n\n(b) This act applies only to transactions between parties each\n\nof which has agreed to conduct transactions by electronic means.\n\nWhether the parties agree to conduct a transaction by electronic\n\nmeans is determined from the context and surrounding circumstances,\n\nincluding the parties’ conduct.\n\n(c) A party that agrees to conduct a transaction by electronic\n\nmeans may refuse to conduct other transactions by electronic means.\n\nThe right granted by this subsection may not be waived by agreement.\n\n(d) Except as otherwise provided in this act, the effect of any\n\nof its provisions may be varied by agreement.
