Stat. tit. 12A, § 12A-15-115","heading":"Time and place of sending and receipt","body":"TIME AND PLACE OF SENDING AND RECEIPT\n\n(a) Unless otherwise agreed between the sender and the\n\nrecipient, an electronic record is sent when it:\n\n(1) is addressed properly or otherwise directed properly to an\n\ninformation processing system that the recipient has designated or\n\nuses for the purpose of receiving electronic records or information\n\nof the type sent and from which the recipient is able to retrieve\n\nthe electronic record;\n\n(2) is in a form capable of being processed by that system; and\n\n(3) enters an information processing system outside the control\n\nof the sender or of a person that sent the electronic record on\n\nbehalf of the sender or enters a region of the information\n\nprocessing system designated or used by the recipient which is under\n\nthe control of the recipient.\n\n(b) Unless otherwise agreed between a sender and the recipient,\n\nan electronic record is received when:\n\n(1) it enters an information processing system that the\n\nrecipient has designated or uses for the purpose of receiving\n\nelectronic records or information of the type sent and from which\n\nthe recipient is able to retrieve the electronic record; and\n\n(2) it is in a form capable of being processed by that system.\n\n(c) Subsection (b) of this section applies even if the place\n\nthe information processing system is located is different from the\n\nplace the electronic record is deemed to be received under\n\nsubsection (d) of this section.\n\n(d) Unless otherwise expressly provided in the electronic\n\nrecord or agreed between the sender and the recipient, an electronic\n\nrecord is deemed to be sent from the sender’s place of business and\n\nto be received at the recipient’s place of business. For purposes\n\nof this subsection, the following rules apply:\n\n(1) If the sender or recipient has more than one place of\n\nbusiness, the place of business of that person is the place having\n\nthe closest relationship to the underlying transaction.\n\n(2) If the sender or the recipient does not have a place of\n\nbusiness, the place of business is the sender’s or recipient’s\n\nresidence, as the case may be.\n\n(e) An electronic record is received under subsection (b) of\n\nthis section even if no individual is aware of its receipt.\n\n(f) Receipt of an electronic acknowledgment from an information\n\nprocessing system described in subsection (b) of this section\n\nestablishes that a record was received but, by itself, does not\n\nestablish that the content sent corresponds to the content received.\n\n(g) If a person is aware that an electronic record purportedly\n\nsent under subsection (a) of this section, or purportedly received\n\nunder subsection (b) of this section, was not actually sent or\n\nreceived, the legal effect of the sending or receipt is determined\n\nby other applicable law.
