Stat. tit. 12A, § 12A-2-201","heading":"Formal Requirements; Statute of Frauds","body":"(1) Except as otherwise provided in this section, a contract\n\nfor the sale of goods for the price of Five Hundred Dollars\n\n($500.00) or more is not enforceable by way of action or defense\n\nunless there is a record sufficient to indicate that a contract for\n\nsale has been made between the parties and signed by the party\n\nagainst whom enforcement is sought or by the party's authorized\n\nagent or broker. A record is not insufficient because it omits or\n\nincorrectly states a term agreed upon but the contract is not\n\nenforceable under this paragraph beyond the quantity of goods shown\n\nin the record.\n\n(2) Between merchants if within a reasonable time a record in\n\nconfirmation of the contract and sufficient against the sender is\n\nreceived and the party receiving it has reason to know its contents,\n\nit satisfies the requirements of subsection (1) against the party\n\nunless notice in a record of objection to its contents is given\n\nwithin ten (10) days after it is received.\n\n(3) A contract which does not satisfy the requirements of\n\nsubsection (1) but which is valid in other respects is enforceable:\n\n(a) if the goods are to be specially manufactured for the\n\nbuyer and are not suitable for sale to others in the ordinary course\n\nof the seller's business and the seller, before notice of\n\nrepudiation is received and under circumstances which reasonably\n\nindicate that the goods are for the buyer, has made either a\n\nsubstantial beginning of their manufacture or commitments for their\n\nprocurement; or\n\n(b) if the party against whom enforcement is sought admits\n\nin his pleading, testimony or otherwise in court that a contract for\n\nsale was made, but the contract is not enforceable under this\n\nprovision beyond the quantity of goods admitted; or\n\n(c) with respect to goods for which payment has been made\n\nand accepted or which have been received and accepted (Section 2-\n\n606).","path":["OK Code","Title 12A"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os12A.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"c5365d4dad8e32f27f3739b2fbe715cdb1ff53629d8eec77fc0c09b06f4a1264","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-12a-12a-2-107","next":"us-ok/okla.-stat.-tit.-12a-12a-2-202"},"notice":"GroundRules: Original legal text.
