Stat. tit. 12A, § 12A-2-207","heading":"Additional Terms in Acceptance or Confirmation","body":"(1) A definite and seasonable expression of acceptance or a\n\nwritten confirmation which is sent within a reasonable time operates\n\nas an acceptance even though it states terms additional to or\n\ndifferent from those offered or agreed upon, unless acceptance is\n\nexpressly made conditional on assent to the additional or different\n\nterms.\n\n(2) The additional terms are to be construed as proposals for\n\naddition to the contract. Between merchants such terms become part\n\nof the contract unless:\n\n(a) the offer expressly limits acceptance to the terms of\n\nthe offer;\n\n(b) they materially alter it; or\n\n(c) notification of objection to them has already been\n\ngiven or is given within a reasonable time after notice of them is\n\nreceived.\n\n(3) Conduct by both parties which recognizes the existence of a\n\ncontract is sufficient to establish a contract for sale although the\n\nwritings of the parties do not otherwise establish a contract.
