Stat. tit. 12A, § 12A-2-209","heading":"Modification, Rescission and Waiver","body":"(1) An agreement modifying a contract within this article needs\n\nno consideration to be binding.\n\n(2) A signed agreement which excludes modification or\n\nrescission except by a signed writing or other signed record cannot\n\nbe otherwise modified or rescinded, but except as between merchants\n\nsuch a requirement on a form supplied by the merchant must be\n\nseparately signed by the other party.\n\n(3) The requirements of the statute of frauds section of this\n\narticle (Section 2-201) must be satisfied if the contract as\n\nmodified is within its provisions.\n\n(4) Although an attempt at modification or rescission does not\n\nsatisfy the requirements of subsection (2) or (3) it can operate as\n\na waiver.\n\n(5) A party who has made a waiver affecting an executory\n\nportion of the contract may retract the waiver by reasonable\n\nnotification received by the other party that strict performance\n\nwill be required of any term waived, unless the retraction would be\n\nunjust in view of a material change of position in reliance on the\n\nwaiver.","path":["OK Code","Title 12A"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os12A.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"1e24018dcb17686932267e13d698334e0d0df10a8ffaa1e2243d4a62f3448241","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-12a-12a-2-207","next":"us-ok/okla.-stat.-tit.-12a-12a-2-210"},"notice":"GroundRules: Original legal text.
