Stat. tit. 12A, § 12A-2-210","heading":"Delegation of Performance; Assignment of Rights","body":"Delegation of Performance; Assignment of Rights.\n\n(1) A party may perform his duty through a delegate unless\n\notherwise agreed or unless the other party has a substantial\n\ninterest in having his original promisor perform or control the acts\n\nrequired by the contract. No delegation of performance relieves the\n\nparty delegating of any duty to perform or any liability for breach.\n\n(2) Except as otherwise provided in Section 1-9-406 of this\n\ntitle, unless otherwise agreed all rights of either seller or buyer\n\ncan be assigned except where the assignment would materially change\n\nthe duty of the other party, or increase materially the burden or\n\nrisk imposed on him by his contract, or impair materially his chance\n\nof obtaining return performance. A right to damages for breach of\n\nthe whole contract or a right arising out of the assignor's due\n\nperformance of his entire obligation can be assigned despite\n\nagreement otherwise.\n\n(3) The creation, attachment, perfection, or enforcement of a\n\nsecurity interest in the seller’s interest under a contract is not a\n\ntransfer that materially changes the duty of or increases materially\n\nthe burden or risk imposed on the buyer or impairs materially the\n\nbuyer’s chance of obtaining return performance within the purview of\n\nparagraph (2) of this section unless, and then only to the extent\n\nthat enforcement actually results in a delegation of material\n\nperformance of the seller. Even in that event, the creation,\n\nattachment, perfection, and enforcement of the security interest\n\nremain effective, but (i) the seller is liable to the buyer for\n\ndamages caused by the delegation to the extent that the damages\n\ncould not reasonably be prevented by the buyer, and (ii) a court\n\nhaving jurisdiction may grant other appropriate relief, including\n\ncancellation of the contract for sale or an injunction against\n\nenforcement of the security interest or consummation of the\n\nenforcement.\n\n(4) Unless the circumstances indicate the contrary a\n\nprohibition of assignment of \"the contract\" is to be construed as\n\nbarring only the delegation to the assignee of the assignor's\n\nperformance.\n\n(5) An assignment of \"the contract\" or of \"all my rights under\n\nthe contract\" or an assignment in similar general terms is an\n\nassignment of rights and unless the language or the circumstances\n\n(as in an assignment for security) indicate the contrary, it is a\n\ndelegation of performance of the duties of the assignor and its\n\nacceptance by the assignee constitutes a promise by him to perform\n\nthose duties.
