Terms","body":"(1) Unless otherwise agreed the term F.O.B. (which means \"free\n\non board\") at a named place, even though used only in connection\n\nwith the stated price, is a delivery term under which\n\n(a) when the term is F.O.B. the place of shipment, the\n\nseller must at that place ship the goods in the manner provided in\n\nthis article (Section 2-504) and bear the expense and risk of\n\nputting them into the possession of the carrier; or\n\n(b) when the term is F.O.B. the place of destination, the\n\nseller must at his own expense and risk transport the goods to that\n\nplace and there tender delivery of them in the manner provided in\n\nthis article (Section 2-503);\n\n(c) when under either (a) or (b) the term is also F.O.B.\n\nvessel, car or other vehicle, the seller must in addition at his own\n\nexpense and risk load the goods on board. If the term if F.O.B.\n\nvessel the buyer must name the vessel and in an appropriate case the\n\nseller must comply with the provisions of this article on the form\n\nof bill of lading (Section 2-323).\n\n(2) Unless otherwise agreed the term F.A.S. vessel (which\n\nmeans \"free alongside\") at a named port, even though used only in\n\nconnection with the stated price, is a delivery term under which the\n\nseller must\n\n(a) at his own expense and risk deliver the goods\n\nalongside the vessel in the manner usual in that port or on a dock\n\ndesignated and provided by the buyer; and\n\n(b) obtain and tender a receipt for the goods in exchange\n\nfor which the carrier is under a duty to issue a bill of lading.\n\n(3) Unless otherwise agreed in any case falling within\n\nsubsection (1) (a) or (c) or subsection (2) the buyer must\n\nseasonably give any needed instructions for making delivery,\n\nincluding when the term is F.A.S. or F.O.B. the loading berth of the\n\nvessel and in an appropriate case its name and sailing date. The\n\nseller may treat the failure of needed instructions as a failure of\n\ncooperation under this article (Section 2-311). He may also at his\n\noption move the goods in any reasonable manner preparatory to\n\ndelivery or shipment.\n\n(4) Under the term F.O.B. vessel or F.A.S. unless otherwise\n\nagreed the buyer must make payment against tender of the required\n\ndocuments and the seller may not tender nor the buyer demand\n\ndelivery of the goods in substitution for the documents.","path":["OK Code","Title 12A"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os12A.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"dabd3e4258585779386c942f74477915092dcdc9edc58b8d605374d035c6fae5","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-12a-12a-2-318","next":"us-ok/okla.-stat.-tit.-12a-12a-2-320"},"notice":"GroundRules: Original legal text.
