Stat. tit. 12A, § 12A-2-401","heading":"Passing of title - Reservation for security - Limited","body":"application of this section.\n\nPassing of Title; Reservation for Security; Limited Application\n\nof this Section.\n\nEach provision of this article with regard to the rights,\n\nobligations and remedies of the seller, the buyer, purchasers or\n\nother third parties applies irrespective of title to the goods\n\nexcept where the provision refers to such title. Insofar as\n\nsituations are not covered by the other provisions of this article\n\nand matters concerning title become material the following rules\n\napply:\n\n(1) Title to goods cannot pass under a contract for sale prior\n\nto their identification to the contract (Section 2-501), and unless\n\notherwise explicitly agreed the buyer acquires by their\n\nidentification a special property as limited by this act. Any\n\nretention or reservation by the seller of the title (property) in\n\ngoods shipped or delivered to the buyer is limited in effect to a\n\nreservation of a security interest. Subject to these provisions and\n\nto the provisions of the article on Secured Transactions (Article\n\n9), title to goods passes from the seller to the buyer in any manner\n\nand on any conditions explicitly agreed on by the parties.\n\n(2) Unless otherwise explicitly agreed title passes to the\n\nbuyer at the time and place at which the seller completes his\n\nperformance with reference to the physical delivery of the goods,\n\ndespite any reservation of a security interest and even though a\n\ndocument of title is to be delivered at a different time or place;\n\nand in particular and despite any reservation of a security interest\n\nby the bill of lading:\n\n(a) if the contract requires or authorizes the seller to send\n\nthe goods to the buyer but does not require him to deliver them at\n\ndestination, title passes to the buyer at the time and place of\n\nshipment; but\n\n(b) if the contract requires delivery at destination, title\n\npasses on tender there.\n\n(3) Unless otherwise explicitly agreed where delivery is to be\n\nmade without moving the goods,\n\n(a) if the seller is to deliver a tangible document of title,\n\ntitle passes at the time when and the place where he delivers such\n\ndocuments and if the seller is to deliver an electronic document of\n\ntitle, title passes when the seller delivers the document; or\n\n(b) if the goods are at the time of contracting already\n\nidentified and no documents are to be delivered, title passes at the\n\ntime and place of contracting.\n\n(4) A rejection or other refusal by the buyer to receive or\n\nretain the goods, whether or not justified, or a justified\n\nrevocation of acceptance revests title to the goods in the seller.\n\nSuch revesting occurs by operation of law and is not a “sale”.","path":["OK Code","Title 12A"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os12A.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"e8c38986c45f4fe896aefab6c1d63c8891634ee0e4ec4596fad79c18655880b7","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-12a-12a-2-328","next":"us-ok/okla.-stat.-tit.-12a-12a-2-402"},"notice":"GroundRules: Original legal text.
