Stat. tit. 12A, § 12A-2-503","heading":"Manner of seller's tender of delivery","body":"Manner of Seller's Tender of Delivery.\n\n(1) Tender of delivery requires that the seller put and hold\n\nconforming goods at the buyer's disposition and give the buyer any\n\nnotification reasonably necessary to enable him to take delivery.\n\nThe manner, time and place for tender are determined by the\n\nagreement and this article, and in particular:\n\n(a) tender must be at a reasonable hour, and if it is of goods\n\nthey must be kept available for the period reasonably necessary to\n\nenable the buyer to take possession; but\n\n(b) unless otherwise agreed the buyer must furnish facilities\n\nreasonably suited to the receipt of the goods.\n\n(2) Where the case is within the next section respecting\n\nshipment tender requires that the seller comply with its provisions.\n\n(3) Where the seller is required to deliver at a particular\n\ndestination tender requires that he comply with subsection (1) and\n\nalso in any appropriate case tender documents as described in\n\nsubsections (4) and (5) of this section.\n\n(4) Where goods are in the possession of a bailee and are to be\n\ndelivered without being moved.\n\n(a) tender requires that the seller either tender a negotiable\n\ndocument of title covering such goods or procure acknowledgment by\n\nthe bailee of the buyer's right to possession of the goods; but\n\n(b) tender to the buyer of a nonnegotiable document of title or\n\nof a written direction to the bailee to deliver is sufficient tender\n\nunless the buyer seasonably objects, and receipt by the bailee of\n\nnotification of the buyer's rights fixes those rights as against the\n\nbailee and all third persons; but risk of loss of the goods and of\n\nany failure by the bailee to honor the nonnegotiable document of\n\ntitle or to obey the direction remains on the seller until the buyer\n\nhas had a reasonable time to present the document or direction, and\n\na refusal by the bailee to honor the document or to obey the\n\ndirection defeats the tender.\n\n(5) Where the contract requires the seller to deliver documents\n\n(a) he must tender all such documents in correct form, except\n\nas provided in this article with respect to bills of lading in a set\n\n(subsection (2) of Section 2-323); and\n\n(b) tender through customary banking channels is sufficient and\n\ndishonor of a draft accompanying or associated with the documents\n\nconstitutes nonacceptance or rejection.","path":["OK Code","Title 12A"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os12A.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"37188847317178fb960715a914d99bbdddd43e98103b09f71c22427b955c7beb","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-12a-12a-2-502","next":"us-ok/okla.-stat.-tit.-12a-12a-2-504"},"notice":"GroundRules: Original legal text.
