Stat. tit. 12A, § 12A-2A-305","heading":"Sale or sublease of goods by lessee","body":"SALE OR SUBLEASE OF GOODS BY LESSEE\n\n(1) Subject to the provisions of Section 33 of this act, a\n\nbuyer or sublessee from the lessee of goods under an existing lease\n\ncontract obtains, to the extent of the interest transferred, the\n\nleasehold interest in the goods that the lessee had or had power to\n\ntransfer, and except as provided in subsection (2) of this section\n\nand subsection (4) of Section 58 of this act, takes subject to the\n\nexisting lease contract. A lessee with a voidable leasehold\n\ninterest has power to transfer a good leasehold interest to a good\n\nfaith buyer for value or a good faith sublessee for value, but only\n\nto the extent provided for a buyer or sublessee from the lessee of\n\ngoods under an existing lease contract. When goods have been\n\ndelivered under a transaction of lease the lessee has that power\n\neven though:\n\n(a) the lessor was deceived as to the identity of\n\nthe lessee;\n\n(b) the delivery was in exchange for a check which\n\nis later dishonored; or\n\n(c) the delivery was procured through fraud\n\npunishable as larcenous under the criminal law.\n\n(2) A buyer in the ordinary course of business or a sublessee\n\nin the ordinary course of business from a lessee who is a merchant\n\ndealing in goods of that kind to whom the goods were entrusted by\n\nthe lessor obtains, to the extent of the interest transferred, all\n\nof the lessor's and lessee's rights to the goods, and takes free of\n\nthe existing lease contract.\n\n(3) A buyer or sublessee from the lessee of goods that are\n\nsubject to an existing lease contract and are covered by a\n\ncertificate of title issued under a statute of this state or of\n\nanother jurisdiction takes no greater rights than those provided\n\nboth by this section and by the certificate of title statute.","path":["OK Code","Title 12A"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os12A.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"40e247f1af14038ab38dd69974b41cf7928ebfd047932dd3121a498ca6110569","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-12a-12a-2a-304","next":"us-ok/okla.-stat.-tit.-12a-12a-2a-306"},"notice":"GroundRules: Original legal text.
