Stat. tit. 12A, § 12A-2A-404","heading":"Substituted performance","body":"SUBSTITUTED PERFORMANCE\n\n(1) If without fault of the lessee, the lessor and the\n\nsupplier, the agreed berthing, loading, or unloading facilities fail\n\nor the agreed type of carrier becomes unavailable or the agreed\n\nmanner of delivery otherwise becomes commercially impracticable, but\n\na commercially reasonable substitute is available, the substitute\n\nperformance must be tendered and accepted.\n\n(2) If the agreed means or manner of payment fails because of\n\ndomestic or foreign governmental regulation:\n\n(a) the lessor may withhold or stop delivery or\n\ncause the supplier to withhold or stop delivery unless the lessee\n\nprovides a means or manner of payment that is commercially a\n\nsubstantial equivalent; and\n\n(b) if delivery has already been taken, payment by\n\nthe means or in the manner provided by the regulation discharges the\n\nlessee's obligation unless the regulation is discriminatory,\n\noppressive, or predatory.","path":["OK Code","Title 12A"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os12A.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"49dec76c173917c57e499ace8d009a8c88975779991a20ed396562af007032bc","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-12a-12a-2a-403","next":"us-ok/okla.-stat.-tit.-12a-12a-2a-405"},"notice":"GroundRules: Original legal text.
