Stat. tit. 12A, § 12A-2A-511","heading":"Merchant lessee's duties as to rightfully rejected","body":"goods.\n\nMERCHANT LESSEE'S DUTIES AS TO\n\nRIGHTFULLY REJECTED GOODS\n\n(1) Subject to any security interest of a lessee (subsection\n\n(5) of Section 55 of this act), if a lessor or a supplier has no\n\nagent or place of business at the market of rejection, a merchant\n\nlessee, after rejection of goods in his possession or control, shall\n\nfollow any reasonable instructions received from the lessor or the\n\nsupplier with respect to the goods. In the absence of those\n\ninstructions, a merchant lessee shall make reasonable efforts to\n\nsell, lease, or otherwise dispose of the goods for the lessor's\n\naccount if they threaten to decline in value speedily. Instructions\n\nare not reasonable if on demand indemnity for expenses is not\n\nforthcoming.\n\n(2) If a merchant lessee (subsection (1) of this section) or\n\nany other lessee (Section 59 of this act) disposes of goods, he is\n\nentitled to reimbursement either from the lessor or the supplier or\n\nout of the proceeds for reasonable expenses of caring for and\n\ndisposing of the goods and, if the expenses include no disposition\n\ncommission, to such commission as is usual in the trade, or if there\n\nis none, to a reasonable sum not exceeding ten percent (10%) of the\n\ngross proceeds.\n\n(3) In complying with this section or Section 59 of this act,\n\nthe lessee is held only to good faith. Good faith conduct hereunder\n\nis neither acceptance or conversion nor the basis of an action for\n\ndamages.\n\n(4) A purchaser who purchases in good faith from a lessee\n\npursuant to this section or Section 59 of this act takes the goods\n\nfree of any rights of the lessor and the supplier even though the\n\nlessee fails to comply with one or more of the requirements of this\n\narticle.","path":["OK Code","Title 12A"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os12A.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"c527203cc0f2f385498e178fa1914028d1b3df206a72efeaf4cdf2ed1fa24767","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-12a-12a-2a-510","next":"us-ok/okla.-stat.-tit.-12a-12a-2a-512"},"notice":"GroundRules: Original legal text.
