Stat. tit. 12A, § 12A-3-105","heading":"Issue of Instrument","body":"ISSUE OF INSTRUMENT\n\n(a) \"Issue\" means:\n\n(1) The first delivery of an instrument by the maker or drawer,\n\nwhether to a holder or nonholder, for the purpose of giving rights\n\non the instrument to any person; or\n\n(2) If agreed by the payee, the first transmission by the\n\ndrawer to the payee of an image of an item and information derived\n\nfrom the item that enables the depository bank to collect the item\n\nby transferring or presenting under federal law an electronic check.\n\n(b) An unissued instrument, or an unissued incomplete\n\ninstrument that is completed, is binding on the maker or drawer, but\n\nnonissuance is a defense.
