Stat. tit. 12A, § 12A-3-106","heading":"Unconditional Promise or Order","body":"UNCONDITIONAL PROMISE OR ORDER\n\n(a) Except as provided in this section, for the purposes of\n\nsubsection (a) of Section 3-104 of this title, a promise or order is\n\nunconditional unless it states (i) an express condition to payment,\n\n(ii) that the promise or order is subject to or governed by another\n\nrecord, or (iii) that rights or obligations with respect to the\n\npromise or order are stated in another record. A reference to\n\nanother record does not of itself make the promise or order\n\nconditional.\n\n(b) A promise or order is not made conditional (i) by a\n\nreference to another record for a statement of rights with respect\n\nto collateral, prepayment, or acceleration, or (ii) because payment\n\nis limited to resort to a particular fund or source.\n\n(c) If a promise or order requires, as a condition to payment,\n\na countersignature by a person whose specimen signature appears on\n\nthe promise or order, the condition does not make the promise or\n\norder conditional for the purposes of subsection (a) of Section 3-\n\n104 of this title. If the person whose specimen signature appears\n\non an instrument fails to countersign the instrument, the failure to\n\ncountersign is a defense to the obligation of the issuer, but the\n\nfailure does not prevent a transferee of the instrument from\n\nbecoming a holder of the instrument.\n\n(d) If a promise or order at the time it is issued or first\n\ncomes into possession of a holder contains a statement, required by\n\napplicable statutory or administrative law, to the effect that the\n\nrights of a holder or transferee are subject to claims or defenses\n\nthat the issuer could assert against the original payee, the promise\n\nor order is not thereby made conditional for the purposes of\n\nsubsection (a) of Section 3-104 of this title; but if the promise or\n\norder is an instrument, there cannot be a holder in due course of\n\nthe instrument.","path":["OK Code","Title 12A"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os12A.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"8d3f6f8f3f36711a91dada2c37780061e271f9d72ce7837a1c21d2d1a9e5c2f2","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-12a-12a-3-105","next":"us-ok/okla.-stat.-tit.-12a-12a-3-107"},"notice":"GroundRules: Original legal text.
