Stat. tit. 12A, § 12A-3-110","heading":"Identification of Person to Whom Instrument is Payable","body":"IDENTIFICATION OF PERSON TO WHOM INSTRUMENT IS PAYABLE\n\n(a) The person to whom an instrument is initially payable is\n\ndetermined by the intent of the person, whether or not authorized,\n\nsigning as, or in the name or behalf of, the issuer of the\n\ninstrument. The instrument is payable to the person intended by the\n\nsigner even if that person is identified in the instrument by a name\n\nor other identification that is not that of the intended person. If\n\nmore than one person signs in the name or behalf of the issuer of an\n\ninstrument and all the signers do not intend the same person as\n\npayee, the instrument is payable to any person intended by one or\n\nmore of the signers.\n\n(b) If the signature of the issuer of an instrument is made by\n\nautomated means, such as a check-writing machine, the payee of the\n\ninstrument is determined by the intent of the person who supplied\n\nthe name or identification of the payee, whether or not authorized\n\nto do so.\n\n(c) A person to whom an instrument is payable may be identified\n\nin any way, including by name, identifying number, office, or\n\naccount number. For the purpose of determining the holder of an\n\ninstrument, the following rules apply:\n\n(1) If an instrument is payable to an account and the\n\naccount is identified only by number, the instrument\n\nis payable to the person to whom the account is\n\npayable. If an instrument is payable to an account\n\nidentified by number and by the name of a person, the\n\ninstrument is payable to the named person, whether or\n\nnot that person is the owner of the account identified\n\nby number.\n\n(2) If an instrument is payable to:\n\n(i) a trust, an estate, or a person described as\n\ntrustee or representative of a trust or estate,\n\nthe instrument is payable to the trustee, the\n\nrepresentative, or a successor of either, whether\n\nor not the beneficiary or estate is also named;\n\n(ii) a person described as agent or similar\n\nrepresentative of a named or identified person,\n\nthe instrument is payable to the represented\n\nperson, the representative, or a successor of the\n\nrepresentative;\n\n(iii) a fund or organization that is not a legal\n\nentity, the instrument is payable to a\n\nrepresentative of the members of the fund or\n\norganization; or\n\n(iv) an office or to a person described as holding an\n\noffice, the instrument is payable to the named\n\nperson, the incumbent of the office, or a\n\nsuccessor to the incumbent.\n\n(d) If an instrument is payable to two or more persons\n\nalternatively, it is payable to any of them and may be negotiated,\n\ndischarged, or enforced by any or all of them in possession of the\n\ninstrument. If an instrument is payable to two or more persons not\n\nalternatively, it is payable to all of them and may be negotiated,\n\ndischarged, or enforced only by all of them.
