Stat. tit. 12A, § 12A-3-203","heading":"Transfer of Instrument; Rights Acquired by Transfer","body":"TRANSFER OF INSTRUMENT; RIGHTS ACQUIRED BY TRANSFER\n\n(a) An instrument is transferred when it is delivered by a\n\nperson other than its issuer for the purpose of giving to the person\n\nreceiving delivery the right to enforce the instrument.\n\n(b) Transfer of an instrument, whether or not the transfer is a\n\nnegotiation, vests in the transferee any right of the transferor to\n\nenforce the instrument, including any right as a holder in due\n\ncourse, but the transferee cannot acquire rights of a holder in due\n\ncourse by a transfer, directly or indirectly, from a holder in due\n\ncourse if the transferee engaged in fraud or illegality affecting\n\nthe instrument.\n\n(c) Unless otherwise agreed, if an instrument is transferred\n\nfor value and the transferee does not become a holder because of\n\nlack of indorsement by the transferor, the transferee has a\n\nspecifically enforceable right to the unqualified indorsement of the\n\ntransferor, but negotiation of the instrument does not occur until\n\nthe indorsement is made.\n\n(d) If a transferor purports to transfer less than the entire\n\ninstrument, negotiation of the instrument does not occur.
