Stat. tit. 12A, § 12A-3-402","heading":"Signature by Representative","body":"SIGNATURE BY REPRESENTATIVE\n\n(a) If a person acting, or purporting to act, as a\n\nrepresentative signs an instrument by signing either the name of the\n\nrepresented person or the name of the signer, the represented person\n\nis bound by the signature to the same extent the represented person\n\nwould be bound if the signature were on a simple contract. If the\n\nrepresented person is bound, the signature of the representative is\n\nthe \"authorized signature of the represented person\" and the\n\nrepresented person is liable on the instrument, whether or not\n\nidentified in the instrument.\n\n(b) If a representative signs the name of the representative to\n\nan instrument and the signature is an authorized signature of the\n\nrepresented person, the following rules apply:\n\n(1) If the form of the signature shows unambiguously that\n\nthe signature is made on behalf of the represented\n\nperson who is identified in the instrument, the\n\nrepresentative is not liable on the instrument; and\n\n(2) Subject to subsection (c) of this section, if (i) the\n\nform of the signature does not show unambiguously that\n\nthe signature is made in a representative capacity or\n\n(ii) the represented person is not identified in the\n\ninstrument, the representative is liable on the\n\ninstrument to a holder in due course that took the\n\ninstrument without notice that the representative was\n\nnot intended to be liable on the instrument. With\n\nrespect to any other person, the representative is\n\nliable on the instrument unless the representative\n\nproves that the original parties did not intend the\n\nrepresentative to be liable on the instrument.\n\n(c) If a representative signs the name of the representative as\n\ndrawer of a check without indication of the representative status\n\nand the check is payable from an account of the represented person\n\nwho is identified on the check, the signer is not liable on the\n\ncheck if the signature is an authorized signature of the represented\n\nperson.","path":["OK Code","Title 12A"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os12A.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"0b89af2c5c8b9b3f428cf1456b39f93686c73c3e5ea979f74743c4e545d59302","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-12a-12a-3-401","next":"us-ok/okla.-stat.-tit.-12a-12a-3-403"},"notice":"GroundRules: Original legal text.
