Stat. tit. 12A, § 12A-3-406","heading":"Negligence Contributing to Forged Signature or","body":"Alteration of Instrument.\n\nNEGLIGENCE CONTRIBUTING TO FORGED SIGNATURE\n\nOR ALTERATION OF INSTRUMENT\n\n(a) A person whose failure to exercise ordinary care\n\nsubstantially contributes to an alteration of an instrument or to\n\nthe making of a forged signature on an instrument is precluded from\n\nasserting the alteration or the forgery against a person who, in\n\ngood faith, pays the instrument or takes it for value or for\n\ncollection.\n\n(b) Under subsection (a) of this section, if the person\n\nasserting the preclusion fails to exercise ordinary care in paying\n\nor taking the instrument and that failure substantially contributes\n\nto loss, the loss is allocated between the person precluded and the\n\nperson asserting the preclusion according to the extent to which the\n\nfailure of each to exercise ordinary care contributed to the loss.\n\n(c) Under subsection (a) of this section, the burden of proving\n\nfailure to exercise ordinary care is on the person asserting the\n\npreclusion.
