Stat. tit. 12A, § 12A-7-502","heading":"Rights acquired by due negotiation","body":"\n\nRights Acquired by Due Negotiation.\n\n(a) Subject to Sections 7-205 and 7-503 of this title, a holder\n\nto which a negotiable document of title has been duly negotiated\n\nacquires thereby:\n\n(1) title to the document;\n\n(2) title to the goods;\n\n(3) all rights accruing under the law of agency or estoppel,\n\nincluding rights to goods delivered to the bailee after the document\n\nwas issued; and\n\n(4) the direct obligation of the issuer to hold or deliver the\n\ngoods according to the terms of the document free of any defense or\n\nclaim by the issuer except those arising under the terms of the\n\ndocument or under this article, but in the case of a delivery order,\n\nthe bailee's obligation accrues only upon acceptance of the delivery\n\norder and the obligation acquired by the holder is that the issuer\n\nand any endorser will procure the acceptance of the bailee.\n\n(b) Subject to Section 7-503 of this title, title and rights\n\nacquired by due negotiation are not defeated by any stoppage of the\n\ngoods represented by the document or by surrender of the goods by\n\nthe bailee and are not impaired even if:\n\n(1) the due negotiation or any prior due negotiation\n\nconstituted a breach of duty;\n\n(2) any person has been deprived of possession of a negotiable\n\ntangible document or control of a negotiable electronic document by\n\nmisrepresentation, fraud, accident, mistake, duress, loss, theft or\n\nconversion; or\n\n(3) a previous sale or other transfer of the goods or document\n\nhas been made to a third person.","path":["OK Code","Title 12A"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os12A.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"d7fa5dd34772650ce56aaf656c47bcac9ec9581047d4606663c2dcf8dd4c58b1","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-12a-12a-7-501","next":"us-ok/okla.-stat.-tit.-12a-12a-7-503"},"notice":"GroundRules: Original legal text.
