Stat. tit. 12A, § 12A-8-105","heading":"Notice of Adverse Claim","body":"Notice of Adverse Claim.\n\n(a) A person has notice of an adverse claim if:\n\n(1) the person knows of the adverse claim;\n\n(2) the person is aware of facts sufficient to indicate\n\nthat there is a significant probability that the\n\nadverse claim exists and deliberately avoids\n\ninformation that would establish the existence of the\n\nadverse claim; or\n\n(3) the person has a duty, imposed by statute or\n\nregulation, to investigate whether an adverse claim\n\nexists, and the investigation so required would\n\nestablish the existence of the adverse claim.\n\n(b) Having knowledge that a financial asset or interest therein\n\nis or has been transferred by a representative imposes no duty of\n\ninquiry into the rightfulness of a transaction and is not notice of\n\nan adverse claim. However, a person who knows that a representative\n\nhas transferred a financial asset or interest therein in a\n\ntransaction that is, or whose proceeds are being used, for the\n\nindividual benefit of the representative or otherwise in breach of\n\nduty has notice of an adverse claim.\n\n(c) An act or event that creates a right to immediate\n\nperformance of the principal obligation represented by a security\n\ncertificate or sets a date on or after which the certificate is to\n\nbe presented or surrendered for redemption or exchange does not\n\nitself constitute notice of an adverse claim except in the case of a\n\ntransfer more than:\n\n(1) one (1) year after a date set for presentment or\n\nsurrender for redemption or exchange; or\n\n(2) six (6) months after a date set for payment of money\n\nagainst presentation or surrender of the certificate,\n\nif money was available for payment on that date.\n\n(d) A purchaser of a certificated security has notice of an\n\nadverse claim if the security certificate:\n\n(1) whether in bearer or registered form, has been\n\nindorsed \"for collection\" or \"for surrender\" or for\n\nsome other purpose not involving transfer; or\n\n(2) is in bearer form and has on it an unambiguous\n\nstatement that it is the property of a person other\n\nthan the transferor, but the mere writing of a name on\n\nthe certificate is not such a statement.\n\n(e) Filing of a financing statement under Article 9 of this\n\ncode is not notice of an adverse claim to a financial asset.","path":["OK Code","Title 12A"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os12A.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"cc34d22cd014c099e543e481a9bb19dcca4db9a0f38cfc9ea0372ffe238a4f27","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-12a-12a-8-104","next":"us-ok/okla.-stat.-tit.-12a-12a-8-106"},"notice":"GroundRules: Original legal text.
