Stat. tit. 12A, § 12A-8-109","heading":"Warranties in Indirect Holding","body":"Warranties in Indirect Holding.\n\n(a) A person who originates an entitlement order to a\n\nsecurities intermediary warrants to the securities intermediary\n\nthat:\n\n(1) the entitlement order is made by an appropriate\n\nperson, or if the entitlement order is by an agent,\n\nthe agent has actual authority to act on behalf of the\n\nappropriate person; and\n\n(2) there is no adverse claim to the security entitlement.\n\n(b) A person who delivers a security certificate to a\n\nsecurities intermediary for credit to a securities account or\n\noriginates an instruction with respect to an uncertificated security\n\ndirecting that the uncertificated security be credited to a\n\nsecurities account makes to the securities intermediary the\n\nwarranties specified in subsection (a) or (b) of Section 8-108 of\n\nthis title.\n\n(c) If a securities intermediary delivers a security\n\ncertificate to its entitlement holder or causes its entitlement\n\nholder to be registered as the owner of an uncertificated security,\n\nthe securities intermediary makes to the entitlement holder the\n\nwarranties specified in subsection (a) or (b) of Section 8-108 of\n\nthis title.","path":["OK Code","Title 12A"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os12A.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"9cb62257f10c518c2004e6f71f8a6ca38999971b9c6d90c75040667fbd3e082a","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-12a-12a-8-108","next":"us-ok/okla.-stat.-tit.-12a-12a-8-110"},"notice":"GroundRules: Original legal text.
