Stat. tit. 12A, § 12A-8-201","heading":"\"Issuer\"","body":"\"Issuer\".\n\n(a) With respect to an obligation on or a defense to a\n\nsecurity, an \"issuer\" includes a person that:\n\n(1) places or authorizes the placing of its name on a\n\nsecurity certificate, other than as authenticating\n\ntrustee, registrar, transfer agent, or the like, to\n\nevidence a share, participation, or other interest in\n\nits property or in an enterprise, or to evidence its\n\nduty to perform an obligation represented by the\n\ncertificate;\n\n(2) creates a share, participation, or other interest in\n\nits property or in an enterprise, or undertakes an\n\nobligation, that is an uncertificated security;\n\n(3) directly or indirectly creates a fractional interest\n\nin its rights or property, if the fractional interest\n\nis represented by a security certificate; or\n\n(4) becomes responsible for, or in place of , another\n\nperson described as an issuer in this section.\n\n(b) With respect to an obligation on or defense to a security,\n\na guarantor is an issuer to the extent of its guaranty, whether or\n\nnot its obligation is noted on a security certificate.\n\n(c) With respect to a registration of a transfer, issuer means\n\na person on whose behalf transfer books are maintained.","path":["OK Code","Title 12A"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os12A.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"01806008630245a1c00c7a66487b86bba366129e169d5596f6fe03675453cbd5","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-12a-12a-8-116","next":"us-ok/okla.-stat.-tit.-12a-12a-8-202"},"notice":"GroundRules: Original legal text.
