Stat. tit. 12A, § 12A-8-203","heading":"Staleness as Notice of Defects or Defenses","body":"Staleness as Notice of Defects or Defenses.\n\nAfter an act or event, other than a call that has been revoked,\n\ncreating a right to immediate performance of the principal\n\nobligation represented by a certificated security or setting a date\n\non or after which the security is to be presented or surrendered for\n\nredemption or exchange, a purchaser is charged with notice of any\n\ndefect in its issue or defense of the issuer, if the act or event:\n\n(1) requires the payment of money, the delivery of a\n\ncertificated security, the registration of transfer of\n\nan uncertificated security, or any of them on\n\npresentation or surrender of the security certificate,\n\nthe money or security is available on the date set for\n\npayment or exchange, and the purchaser takes the\n\nsecurity more than one (1) year after that date; or\n\n(2) is not covered by paragraph (1) of this subsection and\n\nthe purchaser takes the security more than two (2)\n\nyears after the date set for surrender or presentation\n\nor the date on which performance became due.","path":["OK Code","Title 12A"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os12A.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"42fa8d40c1b74550853b51656b0bc7e2f351f7a58138d24f72a198dcc11da62e","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-12a-12a-8-202","next":"us-ok/okla.-stat.-tit.-12a-12a-8-204"},"notice":"GroundRules: Original legal text.
