Stat. tit. 12A, § 12A-8-208","heading":"Effect of Signature of Authenticating Trustee,","body":"Registrar, or Transfer Agent.\n\nEffect of Signature of Authenticating Trustee, Registrar, or\n\nTransfer Agent.\n\n(a) A person signing a security certificate as authenticating\n\ntrustee, registrar, transfer agent, or the like, warrants to a\n\npurchaser for value of the certificated security, if the purchaser\n\nis without notice of a particular defect, that:\n\n(1) the certificate is genuine;\n\n(2) the person's own participation in the issue of the\n\nsecurity is within the person's capacity and within\n\nthe scope of the authority received by the person from\n\nthe issuer; and\n\n(3) the person has reasonable grounds to believe that the\n\ncertificated security is in the form and within the\n\namount the issuer is authorized to issue.\n\n(b) Unless otherwise agreed, a person signing under subsection\n\n(a) of this section does not assume responsibility for the validity\n\nof the security in other respects.","path":["OK Code","Title 12A"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os12A.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"d60f3edff7bdc76a96cb9c792708e18ad9b7d567e1ffdecadf8c7e55fbdfd0e3","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-12a-12a-8-207","next":"us-ok/okla.-stat.-tit.-12a-12a-8-209"},"notice":"GroundRules: Original legal text.
