Stat. tit. 12A, § 12A-8-301","heading":"Delivery","body":"Delivery.\n\n(a) Delivery of a certificated security to a purchaser occurs\n\nwhen:\n\n(1) the purchaser acquires possession of the security\n\ncertificate;\n\n(2) another person, other than a securities intermediary,\n\neither acquires possession of the security certificate\n\non behalf of the purchaser or, having previously\n\nacquired possession of the certificate, acknowledges\n\nthat it holds for the purchaser; or\n\n(3) a securities intermediary acting on behalf of the\n\npurchaser acquires possession of the security\n\ncertificate, only if the certificate is in registered\n\nform and is (i) registered in the name of the\n\npurchaser, (ii) payable to the order of the purchaser,\n\nor (iii) specially indorsed to the purchaser by an\n\neffective endorsement and has not been indorsed to the\n\nsecurities intermediary or in blank.\n\n(b) Delivery of an uncertificated security to a purchaser\n\noccurs when:\n\n(1) the issuer registers the purchaser as the registered\n\nowner, upon original issue or registration of\n\ntransfer; or\n\n(2) another person, other than a securities intermediary,\n\neither becomes the registered owner of the\n\nuncertificated security on behalf of the purchaser or,\n\nhaving previously become the registered owner,\n\nacknowledges that it holds for the purchaser.","path":["OK Code","Title 12A"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os12A.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"96d79e25d8cde16ee4c14ab343ad7d17033fdbcc6b62ec631488fd447f91d203","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-12a-12a-8-210","next":"us-ok/okla.-stat.-tit.-12a-12a-8-302"},"notice":"GroundRules: Original legal text.
