Stat. tit. 12A, § 12A-8-304","heading":"Indorsement","body":"Indorsement.\n\n(a) An indorsement may be in blank or special. An indorsement\n\nin blank includes an indorsement to bearer. A special indorsement\n\nspecifies to whom a security is to be transferred or who has power\n\nto transfer it. A holder may convert a blank indorsement to a\n\nspecial indorsement.\n\n(b) An indorsement purporting to be only of part of a security\n\ncertificate representing units intended by the issuer to be\n\nseparately transferable is effective to the extent of the\n\nindorsement.\n\n(c) An indorsement, whether special or in blank, does not\n\nconstitute a transfer until delivery of the certificate on which it\n\nappears or, if the indorsement is on a separate document, until\n\ndelivery of both the document and the certificate.\n\n(d) If a security certificate in registered form has been\n\ndelivered to a purchaser without a necessary indorsement, the\n\npurchaser may become a protected purchaser only when the indorsement\n\nis supplied. However, against a transferor, a transfer is complete\n\nupon delivery and the purchaser has a specifically enforceable right\n\nto have any necessary indorsement supplied.\n\n(e) An indorsement of a security certificate in bearer form may\n\ngive notice of an adverse claim to the certificate, but it does not\n\notherwise affect a right to registration that the holder possesses.\n\n(f) Unless otherwise agreed, a person making an indorsement\n\nassumes only the obligations provided in Section 8-108 of this title\n\nand not an obligation that the security will be honored by the\n\nissuer.","path":["OK Code","Title 12A"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os12A.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"2025e80ed0ff066a8b8c1d7e8fbceb68251804ad74eb015e81b4b63b7969f2d7","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-12a-12a-8-303","next":"us-ok/okla.-stat.-tit.-12a-12a-8-305"},"notice":"GroundRules: Original legal text.
