Stat. tit. 12A, § 12A-8-401","heading":"Duty of Issuer to Register Transfer","body":"Duty of Issuer to Register Transfer.\n\n(a) If a certificated security in registered form is presented\n\nto an issuer with a request to register transfer or an instruction\n\nis presented to an issuer with a request to register transfer of an\n\nuncertificated security, the issuer shall register the transfer as\n\nrequested if:\n\n(1) under the terms of the security the person seeking\n\nregistration of transfer is eligible to have the\n\nsecurity registered in its name;\n\n(2) the indorsement or instruction is made by the\n\nappropriate person or by an agent who has actual\n\nauthority to act on behalf of the appropriate person;\n\n(3) reasonable assurance is given that the indorsement or\n\ninstruction is genuine and authorized;\n\n(4) any applicable law relating to the collection of taxes\n\nhas been complied with;\n\n(5) the transfer does not violate any restriction on\n\ntransfer imposed by the issuer in accordance with\n\nSection 8-204 of this title;\n\n(6) a demand that the issuer not register transfer has not\n\nbecome effective under Section 8-403 of this title, or\n\nthe issuer has complied with subsection (b) of Section\n\n8-403 of this title but no legal process or indemnity\n\nbond is obtained as provided in subsection (d) of\n\nSection 8-403 of this title; and\n\n(7) the transfer is in fact rightful or is to a protected\n\npurchaser.\n\n(b) If an issuer is under a duty to register a transfer of a\n\nsecurity, the issuer is liable to a person presenting a certificated\n\nsecurity or an instruction for registration or to the person's\n\nprincipal for loss resulting from unreasonable delay in registration\n\nor failure or refusal to register the transfer.","path":["OK Code","Title 12A"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os12A.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"ecde865dc146476aad25a3455d3d0abdb507d5c0f52380d7473a3c94035b5d30","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-12a-12a-8-307","next":"us-ok/okla.-stat.-tit.-12a-12a-8-402"},"notice":"GroundRules: Original legal text.
