Stat. tit. 12A, § 12A-8-402","heading":"Assurance that Indorsement or Instruction Is Effective","body":"Assurance that Indorsement or Instruction is Effective.\n\n(a) An issuer may require the following assurance that each\n\nnecessary indorsement or each instruction is genuine and authorized:\n\n(1) in all cases, a guaranty of the signature of the\n\nperson making an indorsement or originating an\n\ninstruction including, in the case of an instruction,\n\nreasonable assurance of identity;\n\n(2) if the indorsement is made or the instruction is\n\noriginated by an agent, appropriate assurance of\n\nactual authority to sign;\n\n(3) if the indorsement is made or the instruction is\n\noriginated by a fiduciary pursuant to paragraph (4) or\n\n(5) of subsection (a) of Section 8-107 of this title,\n\nappropriate evidence of appointment or incumbency;\n\n(4) if there is more than one fiduciary, reasonable\n\nassurance that all who are required to sign have done\n\nso; and\n\n(5) if the indorsement is made or the instruction is\n\noriginated by a person not covered by another\n\nprovision of this subsection, assurance appropriate to\n\nthe case corresponding as nearly as may be to the\n\nprovisions of this subsection.\n\n(b) An issuer may elect to require reasonable assurance beyond\n\nthat specified in this section.\n\n(c) In this section:\n\n(1) \"Guaranty of the signature\" means a guaranty signed by\n\nor on behalf of a person reasonably believed by the\n\nissuer to be responsible. An issuer may adopt\n\nstandards with respect to responsibility if they are\n\nnot manifestly unreasonable.\n\n(2) \"Appropriate evidence of appointment or incumbency\"\n\nmeans:\n\n(i) in the case of a fiduciary appointed or qualified\n\nby a court, a certificate issued by or under the\n\ndirection or supervision of the court or an\n\nofficer thereof and dated within sixty (60) days\n\nbefore the date of presentation for transfer; or\n\n(ii) in any other case, a copy of a document showing\n\nthe appointment or a certificate issued by or on\n\nbehalf of a person reasonably believed by an\n\nissuer to be responsible or, in the absence of\n\nthat document or certificate, other evidence the\n\nissuer reasonably considers appropriate.","path":["OK Code","Title 12A"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os12A.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"bd7ce661b01296ea30f368d855d1d6a699051b17f6313c2426d557be8eb5326c","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-12a-12a-8-401","next":"us-ok/okla.-stat.-tit.-12a-12a-8-403"},"notice":"GroundRules: Original legal text.
