Stat. tit. 12A, § 12A-8-404","heading":"Wrongful Registration","body":"Wrongful Registration.\n\n(a) Except as otherwise provided in Section 8-406 of this\n\ntitle, an issuer is liable for wrongful registration of transfer if\n\nthe issuer has registered a transfer of a security to a person not\n\nentitled to it, and the transfer was registered:\n\n(1) pursuant to an ineffective indorsement or instruction;\n\n(2) after a demand that the issuer not register transfer\n\nbecame effective under subsection (a) of Section 8-403\n\nof this title and the issuer did not comply with\n\nsubsection (b) of Section 8-403 of this title;\n\n(3) after the issuer had been served with an injunction,\n\nrestraining order, or other legal process enjoining it\n\nfrom registering the transfer, issued by a court of\n\ncompetent jurisdiction, and the issuer had a\n\nreasonable opportunity to act on the injunction,\n\nrestraining order, or other legal process; or\n\n(4) by an issuer acting in collusion with the wrongdoer.\n\n(b) An issuer that is liable for wrongful registration of\n\ntransfer under subsection (a) of this section on demand shall\n\nprovide the person entitled to the security with a like certificated\n\nor uncertificated security, and any payments or distributions that\n\nthe person did not receive as a result of the wrongful registration.\n\nIf an overissue would result, the issuer's liability to provide the\n\nperson with a like security is governed by Section 8-210 of this\n\ntitle.\n\n(c) Except as otherwise provided in subsection (a) of this\n\nsection or in a law relating to the collection of taxes, an issuer\n\nis not liable to an owner or other person suffering loss as a result\n\nof the registration of a transfer of a security if registration was\n\nmade pursuant to an effective indorsement or instruction.","path":["OK Code","Title 12A"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os12A.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"3d1b262dda82c8a1d95d398ece5e91934d750f2cb8d3b69f89e12a3e67148b31","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-12a-12a-8-403","next":"us-ok/okla.-stat.-tit.-12a-12a-8-405"},"notice":"GroundRules: Original legal text.
