Stat. tit. 12A, § 12A-8-405","heading":"Replacement of Lost, Destroyed, or Wrongfully Taken","body":"Security Certificate.\n\nReplacement of Lost, Destroyed, or Wrongfully Taken Security\n\nCertificate.\n\n(a) If an owner of a certificated security, whether in\n\nregistered or bearer form, claims that the certificate has been\n\nlost, destroyed, or wrongfully taken, the issuer shall issue a new\n\ncertificate if the owner:\n\n(1) so requests before the issuer has notice that the\n\ncertificate has been acquired by a protected\n\npurchaser;\n\n(2) files with the issuer a sufficient indemnity bond; and\n\n(3) satisfies other reasonable requirements imposed by the\n\nissuer.\n\n(b) If, after the issue of a new security certificate, a\n\nprotected purchaser of the original certificate presents it for\n\nregistration of transfer, the issuer shall register the transfer\n\nunless an overissue would result. In that case, the issuer's\n\nliability is governed by Section 8-210 of this title.
