Stat. tit. 12A, § 12A-8-507","heading":"Duty of Securities Intermediary to Comply with","body":"Entitlement Order.\n\nDuty of Securities Intermediary to Comply with Entitlement\n\nOrder.\n\n(a) A securities intermediary shall comply with an entitlement\n\norder if the entitlement order is originated by the appropriate\n\nperson, the securities intermediary has had reasonable opportunity\n\nto assure itself that the entitlement order is genuine and\n\nauthorized, and the securities intermediary has had reasonable\n\nopportunity to comply with the entitlement order. A securities\n\nintermediary satisfies the duty if:\n\n(1) the securities intermediary acts with respect to the\n\nduty as agreed upon by the entitlement holder and the\n\nsecurities intermediary; or\n\n(2) in the absence of agreement, the securities\n\nintermediary exercises due care in accordance with\n\nreasonable commercial standards to comply with the\n\nentitlement order.\n\n(b) If a securities intermediary transfers a financial asset\n\npursuant to an ineffective entitlement order, the securities\n\nintermediary shall reestablish a security entitlement in favor of\n\nthe person entitled to it, and pay or credit any payments or\n\ndistributions that the person did not receive as a result of the\n\nwrongful transfer.
