Except as otherwise provided in this section, a supplier\n\nmust provide a dealer at least one hundred eighty (180) days’ prior\n\nwritten notice of termination of a dealer agreement. The notice\n\nmust state all reasons constituting good cause for such termination\n\nand must state that the dealer has sixty (60) days in which to cure\n\nany claimed deficiency. If the deficiency is rectified within sixty\n\n(60) days, the notice will be void. A supplier, other than a\n\nspecialty agricultural equipment supplier, may not terminate a\n\ndealer agreement for the reason set forth in paragraph 8 of\n\nsubsection A of Section 245A.1 of this title unless the supplier\n\ngives the dealer notice of such action at least two (2) years before\n\nthe effective date of the action. If the dealer achieves the\n\nsupplier’s requirements for reasonable standards or performance\n\nobjectives before the expiration of the two-year notice period, the\n\nnotice will be void and the dealer agreement will continue in full\n\nforce and effect. The notice and right to cure provisions under\n\nthis section shall not apply if the reason for termination is for\n\nany reason set forth in paragraphs 1 through 7 of subsection A of\n\nSection 245A.1 of this title.\n\nB. If a supplier has contractual authority to approve or deny a\n\nrequest for a sale or transfer of a dealer’s business or an equity\n\nownership interest therein, the supplier shall approve or deny such\n\na request within sixty (60) days after receiving a written request\n\nfrom the dealer. If the supplier has neither approved nor denied\n\nthe request within the sixty-day period, the request will be deemed\n\napproved. The dealer’s request shall include reasonable financial,\n\npersonal background, character references and work history\n\ninformation for the acquiring persons. If a supplier denies a\n\nrequest made pursuant to this subsection, the supplier must provide\n\nthe dealer with a written notice of the denial that states the\n\nreasons for the denial. A supplier may not unreasonably withhold\n\nconsent to a request for a sale or transfer of a dealer’s business\n\nor an equity ownership interest in such business, and such consent\n\nmay only be withheld for good cause. The supplier shall have the\n\nburden to prove that the denial of the request for sale or transfer\n\ncomplied with the requirements of this subsection.\n\nC. If a dealer dies and the supplier has contractual authority\n\nto approve or deny a request for a sale or transfer of the dealer’s\n\nbusiness or equity ownership interest therein, the dealer’s estate,\n\nor such other person with authority to transfer assets of the\n\ndealer, will have one hundred eighty (180) days to submit to the\n\nsupplier a written request for a sale or transfer of the business or\n\nequity ownership interest. If the request is timely submitted, the\n\nsupplier shall approve or deny the request in accordance with\n\nsubsection B of this section. Notwithstanding anything to the\n\ncontrary contained in the Fair Practices of Equipment Manufacturers,\n\nDistributors, Wholesalers and Dealers Act, any attempt by the\n\nsupplier to terminate the dealer or the dealership as a result of\n\nthe death of a dealer will be delayed until there has been\n\ncompliance with the terms of this section or the one-hundred-eighty-\n\nday period has expired, as applicable.\n\nD.
