Stat. tit. 15, § 15-427","heading":"Rules for interpretation","body":"In the interpretation of a contract of indemnity, the following\n\nrules are to be applied, unless a contrary intention appears:\n\n1. Upon an indemnity against liability, expressly, or in other\n\nequivalent terms, the person indemnified is entitled to recover upon\n\nbecoming liable.\n\n2. Upon an indemnity against claims or demands, or damages or\n\ncosts, expressly, or in other equivalent terms, the person\n\nindemnified is not entitled to recover without payment thereof.\n\n3. An indemnity against claims or demands, or liability,\n\nexpressly or in other equivalent terms, embraces the costs of\n\ndefense against such claims, demands or liability incurred in good\n\nfaith, and in the exercise of reasonable discretion.\n\n4. The person indemnifying is bound, on request of the person\n\nindemnified, to defend actions or proceedings brought against the\n\nlatter in respect to the matters embraced by the indemnity; but the\n\nperson indemnified has the right to conduct such defense, if he\n\nchooses to do so.\n\n5. If, after request, the person indemnifying neglects to\n\ndefend the person indemnified, a recovery against the latter,\n\nsuffered by him in good faith, is conclusive in his favor against\n\nthe former.\n\n6. If the person indemnifying, whether he is a principal or a\n\nsurety in the agreement, has not reasonable notice of the action of\n\nproceedings against the person indemnified, or is not allowed to\n\ncontrol its defense, judgment against the latter is only presumptive\n\nevidence against the former.\n\n7.
