Stat. tit. 15, § 15-684","heading":"Form and requisites of contract","body":"A contract for invention development services shall be in the\n\nfollowing form:\n\n1. A contract for invention development services shall set\n\nforth the information required in this section in at least 10-point\n\ntype;\n\n2. The following disclosure statement shall be in boldface type\n\nand shall be located conspicuously on a cover sheet that contains no\n\nother writing:\n\n\"The following disclosures are required by law and are expressly\n\nmade a part of this contract: You have the right to cancel this\n\ncontract for any reason at any time within three (3) business days\n\nfrom the date you and the invention developer sign the contract and\n\nyou receive a fully executed copy of it. To exercise this option\n\nyou may use certified mail or personally deliver to this invention\n\ndeveloper written notice of your cancellation. The method and time\n\nfor notification is set forth in this contract immediately above the\n\nplace for your signature. Upon cancellation, the invention\n\ndeveloper must return by certified mail or personal delivery, within\n\nten (10) business days after receipt of the cancellation notice, all\n\nmoney paid and all materials provided either by you or by another\n\nparty in your behalf.\n\nUnless the invention developer is a registered patent attorney\n\nor registered patent agent, he is not permitted to give you legal\n\nadvice concerning patent, copyright or trademark law or to advise\n\nyou of whether your idea or invention may be patentable or may be\n\nprotected under the patent, copyright or trademark laws of the\n\nUnited States or any other law.\n\nNo patent, copyright or trademark protection will be acquired\n\nfor you by the invention developer or by this contract. Your\n\nfailure to inquire into the law governing patent, copyright or\n\ntrademark matters may jeopardize your rights in your idea or\n\ninvention both in the United States and in foreign countries. Your\n\nfailure to identify and investigate existing patents, trademarks or\n\nregistered copyrights may place you in jeopardy of infringing the\n\ncopyrights, patent or trademark rights of other persons if you\n\nproceed to make, use, distribute or sell your idea or invention.\";\n\n3. The contract shall describe fully and in detail the acts or\n\nservices that the invention developer contracts to perform for the\n\ncustomer;\n\n4. The contract shall state whether the invention developer\n\ncontracts to construct one or more prototypes, models or devices\n\nembodying the invention of the customer, the number of such\n\nprototypes to be constructed and whether the invention developer\n\ncontracts to sell or distribute such prototypes, models or devices;\n\n5. If an oral or written estimate of customer earning is made,\n\nthe contract shall state the estimate and the data upon which it is\n\nbased;\n\n6. In a single statement the contract shall set forth both:\n\na. the total number of customers who have contracted with\n\nthe invention developer, except that the number need\n\nnot reflect those customers who have contracted within\n\nthe last thirty (30) days, and\n\nb. the number of customers who have received, by virtue\n\nof the invention developer's performance of invention\n\ndevelopment services, an amount of money in excess of\n\nthe amount of money paid by such customers to the\n\ninvention developer pursuant to a contract for\n\ninvention development services;\n\n7. The contract shall state the expected date of completion of\n\nthe invention development services;\n\n8. The contract shall state whether and the extent to which it\n\neffectuates or makes possible the purchase by the invention\n\ndeveloper of an interest in the title to the invention of the\n\ncustomer;\n\n9. The contract shall explain that the invention developer is\n\nrequired to maintain all records and correspondence relating to\n\nperformance of the invention development services for that customer\n\nfor a period not less than three (3) years after expiration of the\n\nterm of the contract for invention development services;\nion\n\ndeveloper of an interest in the title to the invention of the\n\ncustomer;\n\n9. The contract shall explain that the invention developer is\n\nrequired to maintain all records and correspondence relating to\n\nperformance of the invention development services for that customer\n\nfor a period not less than three (3) years after expiration of the\n\nterm of the contract for invention development services;\n\n10. The contract shall state that the records and\n\ncorrespondence required to be maintained pursuant to Section 9 of\n\nthis act shall be made available to the customer or his\n\nrepresentative for review and copying at the expense of the customer\n\non the premises of the invention developer during normal business\n\nhours upon seven (7) days' written notice, the time period to begin\n\nfrom the date the notice is sent by certified mail;\n\n11. The contract shall state the name of the person or firm\n\ncontracting to perform the invention development services, all names\n\nunder which said person or firm is doing or has done business as an\n\ninvention developer during the previous ten (10) years, the names of\n\nall parent and subsidiary companies to the firm and the names of all\n\ncompanies that have a contractual obligation to the firm to perform\n\ninvention development services; and\n\n12.
