Stat. tit. 17, § 17-158.50","heading":"Definitions","body":"1. \"Acquiring party\" means a person and all affiliates thereof\n\nby whom or on whose behalf an acquisition of control referred to in\n\nSection 158.51 of this title is to be effected;\n\n2. \"Affiliate\" means a person who directly, or indirectly\n\nthrough one or more intermediaries, controls, or is controlled by or\n\nis under common control with the person specified including any\n\ncorporation created at the direction of the person specified for\n\npurposes of corporate reorganization;\n\n3. \"Commission\" means the Oklahoma Corporation Commission;\n\n4. \"Control\" (including the terms \"controlling\", \"controlled\n\nby\", and \"under common control with\") means the possession, direct\n\nor indirect, of the power to direct or cause the direction of the\n\nmanagement and policies of a person, whether through the ownership,\n\nby contract, purchase of assets, or otherwise, unless such power is\n\nthe result of an official position with, or corporate office held\n\nin, such person. Control shall be presumed to exist if any person,\n\ndirectly or indirectly, owns or controls the assets of such rural\n\nelectric cooperative. This presumption may be rebutted by showing\n\nthat control does not exist in fact. The Commission may determine,\n\nafter furnishing all persons in interest notice and opportunity to\n\nbe heard and making specific findings of fact to support such\n\ndetermination, that control exists in fact, notwithstanding the\n\nabsence of a presumption to that effect;\n\n5. \"Domestic public utility\" means a person doing business in\n\nthe state, including any other person controlling such a domestic\n\npublic utility, any substantial portion of the revenues of which,\n\neither directly or indirectly, are derived from the business of\n\nproviding utility service in this state, except that such term does\n\nnot include agencies, authorities or instrumentalities of the United\n\nStates or a state or political subdivision of a state;\n\n6. \"Person\" means an individual, a corporation, a partnership,\n\nan association, a joint stock company, a trust, an unincorporated\n\norganization, any similar entity or any combination of the foregoing\n\nacting in concert, but shall not include any securities broker\n\nperforming no more than the usual and customary broker's function;\n\n7. \"Rural electric cooperative\" means a person doing business\n\nin the state, pursuant to Section 437.1 et seq. of Title 18 of the\n\nOklahoma Statutes;\n\n8. \"Utility service\" means the distribution, delivery or\n\nfurnishing of electric current for sale to the public for light,\n\nheat or power, provided that such term shall not include entities as\n\ndescribed by the provisions of paragraph 2 of subsection B of\n\nSection 151 of this title;\n\n9. \"Assets\" in the case of a rural electric cooperative means\n\nthe physical plant, equipment, accounts receivable, accounts\n\npayable, capital credits and all other assets of such rural electric\n\ncooperative.","path":["OK Code","Title 17"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os17.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"5cee0e08cffec3c0c7ebe974d1ec175873f1080d0c414b47238e4d9d3baf24e7","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-17-17-158.45","next":"us-ok/okla.-stat.-tit.-17-17-158.51"},"notice":"GroundRules: Original legal text.
