The provisions of the Oklahoma General Corporation Act shall\n\nbe applicable to every corporation, whether profit or not for\n\nprofit, stock or nonstock, existing as of the effective date of this\n\nact or thereafter formed or qualified to transact business in this\n\nstate, and to all securities thereof, except to the extent that:\n\n1. any such corporation is expressly excluded from the\n\noperation of the Oklahoma General Corporation Act or portions\n\nthereof; or\n\n2. special provisions concerning any such corporation conflict\n\nwith the provisions of the Oklahoma General Corporation Act, in\n\nwhich case such special provisions shall govern.\n\nB. Any conflicts with the provisions of the Oklahoma General\n\nCorporation Act and any tax or unclaimed property laws of this state\n\nshall be governed by the tax or unclaimed property provisions,\n\nincluding those provisions relating to personal liability of\n\ncorporate officers and directors.\n\nC. The provisions of the Oklahoma General Corporation Act\n\nconcerning qualification of foreign corporations and providing\n\nrequirements and duties relating to such corporations shall not\n\napply to insurance companies subject to the jurisdiction of the\n\nInsurance Commissioner or to foreign transportation companies\n\nsubject to the jurisdiction of the Corporation Commission, existing\n\nas of the effective date of this act or thereafter qualified to\n\ntransact business in this state.","path":["OK Code","Title 18"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os18.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"e62370951f85d481050fd4ae029938939bb3d4853eda3151cda854bea7ee3a20","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-18-18-1001","next":"us-ok/okla.-stat.-tit.-18-18-1004"},"notice":"GroundRules: Original legal text.
