Stat. tit. 18, § 18-1022","heading":"Registered agent in state - Resident agent","body":"REGISTERED AGENT IN STATE; RESIDENT AGENT\n\nA. Every domestic corporation shall have and maintain in this\n\nstate a registered agent, which agent may be any of the following:\n\n1. The domestic corporation itself;\n\n2. An individual resident of this state;\n\n3. A domestic corporation, a domestic partnership whether\n\ngeneral or limited and including a limited liability partnership or\n\na limited liability limited partnership or a domestic limited\n\nliability company; or\n\n4. A foreign corporation, a foreign limited liability\n\npartnership, a foreign limited partnership, a foreign limited\n\nliability limited partnership or a foreign limited liability\n\ncompany, if authorized to transact business in this state.\n\nB. Every foreign corporation transacting business in this state\n\nshall have and maintain the Secretary of State as its registered\n\nagent in this state. In addition, such foreign corporation may have\n\nand maintain in this state an additional registered agent, which may\n\nbe an individual or entity set forth in subsection A of this\n\nsection; provided, that the foreign corporation may not be its own\n\nregistered agent. If such additional registered agent is\n\ndesignated, service of process shall be on such agent and not on the\n\nSecretary of State.\n\nC. Each registered agent for a domestic corporation or foreign\n\ncorporation shall:\n\n1. If an entity, maintain a business office identical with the\n\nregistered office which is open during regular business hours, or if\n\nan individual, be generally present at the registered office to\n\naccept service of process and otherwise perform the functions of a\n\nregistered agent;\n\n2. If a foreign entity, be authorized to transact business in\n\nthis state; and\n\n3. Accept service of process and other communications directed\n\nto the corporations for which it serves as registered agent and\n\nforward same to the corporation to which the service or\n\ncommunication is directed.\n\nD. Every corporation formed under the laws of this state or\n\nqualified to do business in this state shall provide to its\n\nregistered agent, and update from time to time as necessary, the\n\nname, business address and business telephone number of a natural\n\nperson who is an officer, director, employee or designated agent of\n\nthe corporation, who is then authorized to receive communications\n\nfrom the registered agent. Such person shall be deemed the\n\ncommunications contact for the corporation. Every registered agent\n\nshall retain, in paper or electronic form, the information required\n\nby this subsection concerning the current communications contact for\n\neach corporation for which he, she or it serves as a registered\n\nagent. If the corporation fails to provide the registered agent\n\nwith a current communications contact, the registered agent may\n\nresign as the registered agent for such corporation pursuant to\n\nSection 1026 of this title.\n\nE. Whenever the term “resident agent” or “resident agent in\n\ncharge of a corporation’s principal office or place of business in\n\nthis state”, or other term of like import which refers to a\n\ncorporation’s agent required by statute to be located in this state,\n\nis or has been used in a corporation’s certificate of incorporation,\n\nor in any other document, or in any statute, it shall be deemed to\n\nmean and refer to, unless the context indicates otherwise, the\n\ncorporation’s registered agent required by this section.
