Stat. tit. 18, § 18-1026","heading":"Resignation of registered agent not coupled with","body":"appointment of successor; absence of registered agent.\n\nRESIGNATION OF REGISTERED AGENT NOT COUPLED\n\nWITH APPOINTMENT OF SUCCESSOR; ABSENCE OF REGISTERED AGENT\n\nA. The registered agent of one or more corporations may resign\n\nwithout appointing a successor by filing in the name of each\n\naffected corporation a certificate of resignation with the Secretary\n\nof State; but a resignation shall not become effective until thirty\n\n(30) days after each certificate is filed. The certificate shall:\n\n1. Be acknowledged by the registered agent;\n\n2. Contain a statement that written notice of resignation was\n\ngiven to the corporation at least thirty (30) days prior to the\n\nfiling of the certificate by mailing or delivering the notice to the\n\ncorporation at its address last known to the registered agent and\n\nspecify such address therein; and\n\n3. Set forth the date the notice was mailed.\n\nB. 1. After receipt of the notice of the resignation of its\n\nregistered agent provided for in subsection A of this section, the\n\ncorporation for which the registered agent was acting may obtain and\n\ndesignate a new registered agent in the same manner as provided for\n\nin Section 1023 of this title for a change of registered agent.\n\n2. If a domestic corporation fails to obtain and designate a\n\nnew registered agent prior to the expiration of the period of thirty\n\n(30) days after the filing by the registered agent of the\n\ncertificate of resignation, the Secretary of State shall be deemed\n\nto be the registered agent of such corporation until a new\n\nregistered agent is designated. The Office of the Secretary of\n\nState shall charge the fee prescribed by Section 1142 of this title\n\nfor acting as registered agent.\n\nC. After the resignation of a registered agent has become\n\neffective, if no new registered agent has been obtained and\n\ndesignated in the time and manner required, service of legal process\n\nagainst the corporation for which the resigned registered agent had\n\nbeen acting shall be upon the Secretary of State as provided in\n\nSection 2004 of Title 12 of the Oklahoma Statutes.","path":["OK Code","Title 18"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os18.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"8df2da6be4e1b30a85e785287efa5f9974844f9d3c747e312fb06eeb80819bd7","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-18-18-1025","next":"us-ok/okla.-stat.-tit.-18-18-1027"},"notice":"GroundRules: Original legal text.
