Stat. tit. 18, § 18-1058","heading":"Fixing date for determination of shareholders of record","body":"FIXING DATE FOR DETERMINATION OF SHAREHOLDERS OF RECORD\n\nA. In order that the corporation may determine the shareholders\n\nentitled to notice of or to vote at any meeting of shareholders or\n\nany adjournment thereof, the board of directors may fix a record\n\ndate, which record date shall not precede the date upon which the\n\nresolution fixing the record date is adopted by the board of\n\ndirectors, and which record date shall not be more than sixty (60)\n\nnor less than ten (10) days before the date of such meeting. If the\n\nboard of directors so fixes a date, such date shall also be the\n\nrecord date for determining the shareholders entitled to vote at\n\nsuch meeting unless the board of directors determines, at the time\n\nit fixes such record date, that a later date on or before the date\n\nof the meeting shall be the date for making such determination. If\n\nno record date is fixed by the board of directors, the record date\n\nfor determining shareholders entitled to notice of or to vote at a\n\nmeeting of shareholders shall be at the close of business on the day\n\nnext preceding the day on which notice is given, or, if notice is\n\nwaived, at the close of business on the day next preceding the day\n\non which the meeting is held. A determination of shareholders of\n\nrecord entitled to notice of or to vote at a meeting of shareholders\n\nshall apply to any adjournment of the meeting; provided, however,\n\nthat the board of directors may fix a new record date for the\n\nadjourned meeting and in such case shall also fix as the record date\n\nfor shareholders entitled to notice of such adjourned meeting the\n\nsame or an earlier date as that fixed for determination of\n\nshareholders entitled to vote in accordance with the foregoing\n\nprovisions of this section at the adjourned meeting.\n\nB. In order that the corporation may determine the shareholders\n\nentitled to consent to corporate action without a meeting in\n\naccordance with Section 1073 of this title, the board of directors\n\nmay fix a record date, which record date shall not precede the date\n\nupon which the resolution fixing the record date is adopted by the\n\nboard of directors, and which date shall not be more than ten (10)\n\ndays after the date upon which the resolution fixing the record date\n\nis adopted by the board of directors. If no record date has been\n\nfixed by the board of directors, the record date for determining\n\nshareholders entitled to consent to corporate action without a\n\nmeeting, when no prior action by the board of directors is required\n\nby the Oklahoma General Corporation Act, shall be the first date on\n\nwhich a signed consent setting forth the action taken or proposed to\n\nbe taken is delivered to the corporation in accordance with\n\nsubsection D of Section 1073 of this title. If no record date has\n\nbeen fixed by the board of directors and prior action by the board\n\nof directors is required by the Oklahoma General Corporation Act,\n\nthe record date for determining shareholders entitled to consent to\n\ncorporate action in writing without a meeting shall be at the close\n\nof business on the day on which the board of directors adopts the\n\nresolution taking such prior action.\n\nC. In order that the corporation may determine the shareholders\n\nentitled to receive payment of any dividend or other distribution or\n\nallotment of any rights or the shareholders entitled to exercise any\n\nrights in respect of any change, conversion or exchange of stock, or\n\nfor the purpose of any other lawful action, the board of directors\n\nmay fix a record date, which record date shall not precede the date\n\nupon which the resolution fixing the record date is adopted, and\n\nwhich record date shall be not more than sixty (60) days prior to\n\nsuch action.
