Stat. tit. 18, § 18-1075","heading":"Exception to requirements of notice","body":"EXCEPTION TO REQUIREMENTS OF NOTICE\n\nA. Whenever notice is required to be given, pursuant to any\n\nprovision of this title or of the certificate of incorporation or\n\nbylaws of any corporation, to any person with whom communication is\n\nunlawful, the giving of such notice to such person shall not be\n\nrequired and there shall be no duty to apply to any governmental\n\nauthority or agency for a license or permit to give such notice to\n\nsuch person. Any action or meeting which shall be taken or held\n\nwithout notice to any such person with whom communication is\n\nunlawful shall have the same force and effect as if such notice had\n\nbeen duly given. In the event that the action taken by the\n\ncorporation is such as to require the filing of a certificate under\n\nany of the other sections of this title, the certificate shall\n\nstate, if such is the fact and if notice is required, that notice\n\nwas given to all persons entitled to receive notice except such\n\npersons with whom communication is unlawful.\n\nB. Whenever notice is required to be given pursuant to any\n\nprovision of the Oklahoma General Corporation Act or the certificate\n\nof incorporation or bylaws of any corporation, to any shareholder\n\nor, if the corporation is a nonstock corporation, to any member to\n\nwhom:\n\n1. Notice of two consecutive annual meetings and all notices of\n\nmeetings or of the taking of action by written consent without a\n\nmeeting to such person during the period between such two\n\nconsecutive annual meetings; or\n\n2. All, and at least two, payments, if sent by first-class\n\nmail, of dividends or interest on securities during a twelve-month\n\nperiod,\n\nhave been mailed addressed to such person at the person’s address as\n\nshown on the records of the corporation and have been returned\n\nundeliverable, the giving of such notice to such person shall not be\n\nrequired. Any action or meeting which shall be taken or held\n\nwithout notice to such person shall have the same force and effect\n\nas if such notice had been duly given. If any such person shall\n\ndeliver to the corporation a written notice setting forth the\n\nperson’s then current address, the requirement that notice be given\n\nto such person shall be reinstated. In the event that the action\n\ntaken by the corporation is such as to require the filing of a\n\ncertificate under any of the other sections of this act, the\n\ncertificate need not state that notice was not given to persons to\n\nwhom notice was not required to be given pursuant to the provisions\n\nof this subsection.\n\nC.
