Stat. tit. 18, § 18-1076","heading":"Amendment of certificate of incorporation before receipt","body":"of payment for stock.\n\nAMENDMENT OF CERTIFICATE OF INCORPORATION BEFORE\n\nRECEIPT OF PAYMENT FOR STOCK\n\nA. Before a corporation has received any payment for any of its\n\nstock, or before it has any members, as applicable, it may amend its\n\ncertificate of incorporation at any time or times, in any and as\n\nmany respects as may be desired, so long as its certificate of\n\nincorporation as amended would contain only such provisions as it\n\nwould be lawful and proper to insert in an original certificate of\n\nincorporation filed at the time of filing the amendment.\n\nB. The amendment of certificate of incorporation authorized by\n\nthe provisions of this section shall be adopted by a majority of the\n\nincorporators, if directors were not named in the original\n\ncertificate of incorporation or have not yet been elected, or, if\n\ndirectors were named in the original certificate of incorporation or\n\nhave been elected and have qualified, by a majority of the\n\ndirectors. A certificate setting forth the amendment and certifying\n\nthat the corporation has not received any payment for any of its\n\nstock, or that the corporation has no members, as applicable, and\n\nthat the amendment has been duly adopted in accordance with the\n\nprovisions of this section shall be executed, acknowledged and filed\n\nin accordance with the provisions of Section 1007 of this title.\n\nUpon such filing, the corporation's certificate of incorporation\n\nshall be deemed to be amended accordingly as of the date on which\n\nthe original certificate of incorporation became effective, except\n\nas to those persons who are substantially and adversely affected by\n\nthe amendment and as to those persons the amendment shall be\n\neffective from the filing date.\n\nC.
