OF CONSTITUENT AND SURVIVING\n\nOR RESULTING CORPORATIONS FOLLOWING MERGER OR CONSOLIDATION\n\nWhen any merger or consolidation shall have become effective\n\npursuant to the provisions of the Oklahoma General Corporation Act,\n\nfor all purposes of the laws of this state the separate existence of\n\nall the constituent corporations, or of all such constituent\n\ncorporations except the one into which the other or others of such\n\nconstituent corporations have been merged, as the case may be, shall\n\ncease and the constituent corporations shall become a new\n\ncorporation, or be merged into one of such corporations, as the case\n\nmay be, possessing all the rights, privileges, powers and franchises\n\nas well of public as of a private nature, and being subject to all\n\nthe restrictions, disabilities and duties of each of such\n\ncorporations so merged or consolidated; and all and singular, the\n\nrights, privileges, powers and franchises of each of said\n\ncorporations, and all property, real, personal and mixed, and all\n\ndebts due to any of said constituent corporations on whatever\n\naccount, as well for stock subscriptions as all other things in\n\naction or belonging to each of such corporations shall be vested in\n\nthe corporation surviving or resulting from such merger or\n\nconsolidation; and all property, rights, privileges, powers and\n\nfranchises, and all and every other interest shall be thereafter as\n\neffectually the property of the surviving or resulting corporation\n\nas they were of the several and respective constituent corporations,\n\nand the title to any real estate vested by deed or otherwise, under\n\nthe laws of this state, in any of such constituent corporations,\n\nshall not revert or be in any way impaired by reason of the\n\nprovisions of the Oklahoma General Corporation Act; but all rights\n\nof creditors and all liens upon any property of any of said\n\nconstituent corporations shall be preserved unimpaired, and all\n\ndebts, liabilities and duties of the respective constituent\n\ncorporations, from that time forward, shall attach to said surviving\n\nor resulting corporation, and may be enforced against it to the same\n\nextent as if said debts, liabilities and duties had been incurred or\n\ncontracted by it.","path":["OK Code","Title 18"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os18.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"4ee201a9ddc1693156ccafcc2fe0f67f1ae3bb29f1287b1b1ff6f541d339f42e","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-18-18-1087","next":"us-ok/okla.-stat.-tit.-18-18-1089"},"notice":"GroundRules: Original legal text.
