Stat. tit. 18, § 18-1095","heading":"Dissolution before the issuance of shares or beginning","body":"business – Procedure.\n\nDISSOLUTION BEFORE THE ISSUANCE OF SHARES OR\n\nBEGINNING BUSINESS; PROCEDURE\n\nIf a corporation has not issued shares or has not commenced the\n\nbusiness for which the corporation was organized, a majority of the\n\nincorporators, or, if directors were named in the certificate of\n\nincorporation or have been elected, a majority of the directors, may\n\nsurrender all of the corporation's rights and franchises by filing\n\nin the Office of the Secretary of State a certificate, executed and\n\nacknowledged by a majority of the incorporators or directors,\n\nstating :\n\n1. That no shares of stock have been issued or that the\n\nbusiness of activity for which the corporation was organized has not\n\nbegun;\n\n2. The date of filing of the corporation's original certificate\n\nof incorporation with the Secretary of State;\n\n3. That no part of the capital of the corporation has been\n\npaid, or, if some capital has been paid, that the amount actually\n\npaid in for the corporation's shares, less any part thereof\n\ndisbursed for necessary expenses, has been returned to those\n\nentitled thereto;\n\n4. That if the corporation has begun business but it has not\n\nissued shares, all debts of the corporation have been paid;\n\n5. That if the corporation has not begun business but has\n\nissued stock certificates, all issued stock certificates, if any,\n\nhave been surrendered and canceled; and\n\n6. That all rights and franchises of the corporation are\n\nsurrendered.
